Xamble Group Limited (ASX – XGL) has announced a significant step in its growth strategy by agreeing to acquire a 55.6% majority stake in YouthsToday Sdn Bhd, a well-established influencer marketing platform based in Malaysia. The deal, valued at A$330,000, is expected to complete by April 2026, subject to customary conditions and approvals.

This acquisition marks a major expansion for Xamble, extending its geographic footprint from three to seven countries across Southeast Asia, including Malaysia, Singapore, Thailand, Vietnam, Indonesia, the Philippines, and Myanmar. It also nearly triples Xamble’s influencer community from 6,931 to 19,233, while more than tripling its agency partnerships from 19 to 65. These metrics underscore the deal’s potential to accelerate Xamble’s platform scale and market penetration.

Broadening the Influencer Ecosystem

YouthsToday brings a complementary influencer tier to Xamble’s existing focus. While Xamble has traditionally engaged macro and micro influencers, YouthsToday specialises in nano and seeder influencers, early-stage creators with smaller but highly engaged audiences. Financially, YouthsToday is a positive contributor, having generated A$0.78 million in revenue for calendar year 2025, up from A$0.56 million in 2024, with a compound annual growth rate of 31.9% over five years. The company is EBITDA positive, reporting A$22,900 in EBITDA for 2025. This positions the acquisition as not only strategically valuable but also financially accretive for Xamble.

To support the acquisition and subsequent growth initiatives, Xamble has secured A$500,000 in funding facilities from its majority shareholder Ganesh Kumar Bangah and independent financial services provider Eli Capital Pty Ltd. These facilities carry a 9% annual interest rate and provide flexibility for integration and expansion efforts over the next two years.

Operational continuity is assured with YouthsToday’s CEO and CFO remaining in their roles for three years post-acquisition. Xamble plans a structured integration program focusing on technology alignment, governance, and operational consolidation to optimise the enlarged group’s performance.
