True North Copper Limited (ASX:TNC) is offloading its Bundarra Copper Project in Queensland’s Bowen Basin to Tec Minerals Pty Ltd under a conditional Sale and Purchase Agreement. The deal hands True North A$500,000 in cash consideration, including a non-refundable A$50,000 deposit already received, alongside A$1 million worth of equity in Tec Minerals’ forthcoming IPO or reverse takeover.

Crucially, True North is not walking away empty-handed. It retains a 1% Net Smelter Royalty (NSR) on future copper production at Bundarra, with Tec Minerals holding the option to repurchase this royalty for A$3 million. This structure reflects True North’s confidence in Bundarra’s exploration upside, even as it prioritises capital and management resources towards its flagship Mt Oxide and Cloncurry Copper Projects.

Strategic Focus on Core Growth Assets

Managing Director Andrew Mooney emphasised the sale as a deliberate move to simplify True North’s portfolio and sharpen its focus on near-term development opportunities. “The transaction generates immediate value while retaining long-term upside through the royalty,” he said, highlighting ongoing extension drilling at Mt Oxide’s Aquila discovery and the progression of Cloncurry towards a Pre-Feasibility Study and development phase.

True North’s three-platform growth strategy is on full display here: grow the Mt Oxide resource, develop the Cloncurry Copper Project, and continue exploration for district-scale IOCG (iron oxide copper gold) systems in the region. Bundarra, with its historic copper-silver-gold prospects, falls outside this concentrated approach but remains a potential source of future value through retained royalty and equity stakes.

Transaction Conditions and Next Steps

The sale is contingent on Tec Minerals successfully completing its IPO or reverse takeover and securing all necessary regulatory approvals, with completion expected by late 2026 or early 2027. True North will receive an additional A$26,500 to reimburse environmental security deposits as part of the deal.

Looking ahead, True North plans to advance its core copper portfolio by accelerating exploration and resource growth at Mt Oxide, including assay results from recent Aquila drilling expected from late July. Meanwhile, the Cloncurry Copper Project is set for a Pre-Feasibility Study and Ore Reserve update in Q4 2026, underpinning the company’s development ambitions.

Bundarra’s Place in True North’s Regional Strategy

Bundarra was acquired through True North’s merger with Duke Exploration in 2023 and hosts multiple copper prospects associated with the Bundarra Igneous Complex. Despite its potential, the project’s divestment signals a clear prioritisation of assets with nearer-term development pathways and larger-scale resource bases.
