Riedel Resources Ltd (ASX:RIE) has officially closed its acquisition of controlling interests in two expansive gold exploration projects in Western Australia’s Laverton Gold District. The Cosmo and Mt Venn Projects together cover approximately 1,000 square kilometres of underexplored greenstone belts, offering a fresh frontier adjacent to some of the region’s largest gold producers, including Gruyere and Duketon.

This deal marks a significant evolution for Riedel, complementing its existing Kingman Gold Project in Arizona and positioning the company as a multi-project explorer with assets in two Tier 1 jurisdictions. The strategic scale and location of these projects provide a platform to pursue belt-scale mineralisation in a globally recognised gold province.

Exploration Potential and Early Activity

At Cosmo, several kilometre-scale gold-in-soil anomalies remain untested by drilling, setting the stage for the first reconnaissance drill program since the 1990s. Aboriginal cultural heritage clearance has been secured, clearing a key hurdle for fieldwork to commence imminently. Meanwhile, Mt Venn has a history of gold occurrences and intriguing copper and platinum group element prospects, with many targets identified through soil geochemistry yet to be fully evaluated.

Riedel is undertaking a comprehensive reinterpretation of Mt Venn’s geology while planning regional soil surveys at Kingman to expand its exploration footprint beyond the existing high-grade inferred resource of 64,000 ounces of gold. These programs underscore Riedel’s commitment to systematic, data-driven exploration across its portfolio.

Management Overhaul Brings Proven Expertise

The acquisition coincides with a refreshed leadership team designed to accelerate Riedel’s growth trajectory. Andrew Dinning joins as a Non-Executive Director, while Paul Schmiede assumes the CEO role, supported by Special Advisor – Exploration Jack Hamilton. This trio brings extensive experience from major African gold discoveries such as Kibali (31.1Moz Au) and Sanutura (2.9Moz Au), along with deep familiarity with the Cosmo and Mt Venn projects gained during Sarama’s stewardship.

Their appointment signals a step-change in technical capability and corporate governance, critical for navigating the complexities of multi-jurisdictional exploration and advancing these large-scale projects efficiently.

Transaction Structure and Shareholder Implications

Riedel acquired Sarama Resources’ interest via 150 million new Riedel shares and 100 million performance rights, with Sarama also reimbursed up to A$300,000 in project-related expenses. The performance rights vest upon achievement of exploration milestones, including drill intersections and resource estimates, as well as share price targets, introducing a performance-linked element to the deal.

Following completion, Sarama holds an initial circa 32% equity stake in Riedel and the right to nominate a board member if its holding remains above 15%. The shares issued to Sarama are subject to a 12-month escrow, aligning interests over the medium term.

Riedel’s strong cash position, bolstered by recent capital raises, underpins planned exploration activities and supports the company’s ambition to unlock value across its expanded asset base.
