The placement price represents a modest 2.04% discount to Janus Electric's last traded price before the trading halt and discounts of over 10% to the 15-day volume weighted average price (VWAP). Importantly, the new shares will rank equally with existing shares, diluting current holders but providing fresh capital to accelerate the company's expansion.

Chief Executive Officer Ben Hutt emphasised that the funds will underpin the next phase of Janus Electric’s growth, particularly in North America. Extension of R&D Finance Facility with Rockford RDF

Alongside the placement, Janus Electric has extended the repayment term of its research and development finance facility with Rockford RDF Pty Ltd from 30 April 2027 to 31 August 2027. In return for this extension, Janus will issue 333,333 shares to Rockford at A$0.15 per share, utilising placement capacity.

This extension provides additional financial flexibility as Janus Electric scales its operations and continues to invest in technology development. The facility’s other terms remain unchanged.

Settlement of the placement is expected on 29 July 2026, with new shares commencing trading the following day. The company’s shares are set to resume trading on the ASX immediately after the announcement.
