InFocus Group Holdings has unveiled Codexa, a sweepstakes casino platform targeting the US market, while completing a major operational restructure to improve financial sustainability amid ongoing cash outflows.
- Launch of Codexa platform for US sweepstakes casino market
- Prodigy9 divested back to founder, consolidating operations under Onify
- Q4 FY2026 net operating cash outflow of AUD 780k
- Discretionary R&D expenditure scaled back
- Funding runway estimated at under two quarters post-restructure
Codexa Launch Marks Strategic Entry into US iGaming Market
InFocus Group Holdings Limited (ASX:IFG) has officially launched Codexa, its first proprietary sweepstakes casino platform developed by its new InFocus Gaming Technologies division. Targeting the US market, Codexa completed a global technical preview in April and is now moving towards commercialisation through multiple avenues, including white-label licensing, managed services, and limited operations under an IFG-owned brand. This positions IFG to tap into the US sweepstakes casino sector, estimated at US$3.4 billion in net revenue, leveraging institutional-grade technology with blockchain fairness and AI personalisation features.
Operational Restructure Consolidates Software Development and Cuts Costs
Alongside the product launch, IFG completed a significant operational restructure during the quarter, consolidating its enterprise software operations by divesting Prodigy9 back to its founder, Chakrit Wichian, and folding Thai operations under the Onify brand. This move aims to create a leaner, more strategic business unit focused on AI-native engineering workflows and high-leverage delivery. The restructure is expected to yield material cost savings across payroll, overheads, and office leases, with Onify projected to be cash-neutral once savings are realised. The divestment was a cash-neutral transaction effective 1 June 2026, with key client contracts retained by Prodigy9.
Financial Performance Reflects Transition and Cash Flow Pressures
IFG reported a net cash outflow from operating activities of AUD 780,000 for Q4 FY2026, reflecting reduced cash receipts and ongoing discretionary R&D expenditure focused on data analytics and algorithmic enhancements. The company has scaled back R&D spending and expects further reductions going forward. Cash and equivalents stood at AUD 228,000 at quarter-end, with total available funding including unused finance facilities at AUD 1.46 million, providing an estimated funding runway of 1.87 quarters. The company acknowledges this is below two quarters but expects improved cash flow post-restructure and plans to raise additional capital as needed.
Financing Activities Support Near-Term Liquidity
During the quarter, IFG saw conversions of US dollar-denominated convertible notes by Obsidian Global Partners and drew down on a short-term loan facility from Radium Capital bearing 17% interest, planned to be repaid from the 2026 R&D rebate. The company also maintains a binding unsecured loan facility with former director Kenny Woo at 8% interest, with a principal amount of AUD 1.5 million. These arrangements underpin IFG's near-term liquidity as it navigates the transition to a leaner operational model and commercialisation of Codexa.
Looking Ahead to Shareholder Meeting and Strategic Execution
IFG has scheduled its 2026 Annual General Meeting for 17 November 2026, where shareholder approval will be sought for the cancellation of certain securities held by Mr Wichian following the Prodigy9 divestment. The company’s CEO, Ken Tovich, emphasised the shift towards an AI-native operational philosophy and the establishment of internal growth engines focused on iGaming and digital assets. The success of Codexa’s commercialisation and realisation of cost savings from the restructure will be critical to IFG’s financial trajectory in coming quarters.
Bottom Line?
InFocus is betting on Codexa and a leaner structure to reverse cash flow pressures, but its funding runway under two quarters demands close attention to execution and capital raising.
Questions in the middle?
- How quickly will Codexa generate meaningful revenue in the competitive US sweepstakes market?
- What cost savings will materialise from the Onify consolidation and Prodigy9 divestment?
- Will planned capital raises be sufficient to extend IFG’s funding runway beyond the short term?
