Structured Rollout with Evaluation Phase and Recurring Revenue

The agreement kicks off with a three-month evaluation period, during which TK Biotech will place an initial order to facilitate product training, clinic demonstrations, and early market introduction. Upon successful completion, quarterly minimum purchase commitments commence immediately, scaling up notably in the second year. This phased approach provides a clear path to recurring revenue, with the first evaluation order expected to be invoiced in the September quarter and minimum quarterly orders starting December 2026.

To accelerate European growth, Memphasys has appointed a Director of Commercial Operations – Europe, expected to start mid-September 2026, tasked with driving sales, partner onboarding, and client management across the continent.
