The funding comprises a $1.3 million placement and a $728,119 non-renounceable entitlement offer, both priced at $0.028 per share, accompanied by free attaching options exercisable at $0.06 and expiring in February 2028. The raise is supported by Australian institutional and high net worth investors, with Cygnet Capital managing the placement and entitlement offer.

The proceeds will bankroll maiden drilling programs at the Prospect Hill Tin project and the Radium Hill Critical Minerals project, alongside progressing a strategic review of the Subron Heavy Rare Earths project. This multi-pronged approach signals HRE’s intent to unlock value across its portfolio of critical mineral assets.

Placement Details and Shareholder Approval

The placement involves issuing 46.4 million shares, with 31 million shares issued under the company’s existing placement capacity and the remaining 15.4 million shares subject to shareholder approval. Attaching options totaling 23.2 million will also require shareholder consent. The offer price represents a 15.15% discount to the last traded price before the trading halt, reflecting a modest discount typical for such raisings.

In parallel, the entitlement offer invites existing shareholders to subscribe for one new share for every eight held, with attaching options on the same terms as the placement. Any shortfall from the entitlement offer may be placed within three months following the closing date, subject to ASX rules.

Project Focus: Drilling and Strategic Review

The Prospect Hill Tin project in South Australia, where all regulatory approvals are secured, will see a 3,200-metre reverse circulation and diamond drilling campaign targeting the South Ridge shear zone. Historical drilling has outlined high-grade tin mineralisation over a 500-metre strike, with intercepts such as 3 metres at 4.85% tin and 5 metres at 3.32% tin highlighting the project's potential.

At Radium Hill, also in South Australia, HRE is preparing for its maiden drilling program to assay intervals for rare earths, critical minerals, and uranium. This follows a collaboration with the Australian Nuclear Science and Technology Organisation (ANSTO) to leverage their expertise in historical mineral processing at the site.

Meanwhile, the Subron Heavy Rare Earths project in Western Australia is undergoing a strategic review to capitalise on high-grade mineralised domains, including the Seawolf prospect which boasts standout intercepts like 8 metres at 3,057ppm total rare earth oxides with a 42% heavy rare earth oxide ratio. The review aims to expedite progress using existing drill data and mineralised material for metallurgical testwork, potentially unlocking significant value in this critical minerals asset.

Timetable and Manager Incentives

The company plans to lodge the entitlement offer prospectus with ASIC by 14 August 2026, with the offer expected to close by mid-September. Shareholder meetings to approve the second tranche of placement shares and the attaching and lead manager options are scheduled for late September.

Cygnet Capital, acting as sole lead manager, will receive a 2% management fee and a 4% selling fee on funds raised, alongside a proposed allocation of 5 million lead manager options subject to shareholder approval. HRE intends to apply for ASX quotation of all attaching and lead manager options issued under the capital raising.
