Contingent Payments Linked to Mineral Resource Milestones

The contingent consideration is structured around two milestones that Goldarc must achieve within five years: a minimum 100,000-ounce inferred or higher JORC-compliant gold resource at over 1.5 grams per tonne, triggering a $500,000 payment in cash or shares; and a second milestone of 250,000 ounces under the same criteria, triggering a further $500,000 payment. The share price for these contingent payments cannot fall below $0.055 per share, providing some downside protection for Regener8.

Kookynie Project’s Historical Significance

Located about 6 kilometres southwest of Kookynie in the central goldfields, the project includes seven prospecting licences with extensive historic mine workings in the Niagara Goldfield. While the project has seen past activity, the divestment signals Regener8’s strategic choice to move away from gold assets and redeploy capital and management focus elsewhere.

Focus Shifts to Srebrenica North Exploration in Bosnia

Proceeds from the sale will support Regener8’s intensified efforts at its 100%-owned Srebrenica North polymetallic project in Bosnia and Herzegovina. The company recently completed Phase 1 soil sampling over the Zanik and Chaush prospects on the Dolovi tenement, advancing exploration in a region with no modern exploration for over 50 years. This initiative follows a ground magnetic survey launched in early August, targeting high-grade silver and base metals, positioning the company for potential drill targets in a prolific European mining district.
