Private Placement Upsized Amid Strong Investor Interest

Resouro Strategic Metals (ASX:RAU) has expanded its planned capital raise, upping its non-brokered private placement from 8 million shares to 10 million shares at $0.25 each, lifting the total gross proceeds target to $2.5 million. This move follows strong investor demand, prompting the company to increase the size of the offering originally announced in early July.

The first tranche of the placement has now closed, with 7.44 million shares issued for gross proceeds of $1.86 million. Resouro expects to complete the remaining issuance shortly, though details on timing remain pending. The offering is still subject to final approval by the TSX Venture Exchange, which governs the listing of the company’s Canadian securities.

Capital to Accelerate Environmental Work at Tiros

Proceeds from the placement will primarily fund the environmental program at Resouro’s flagship Tiros Titanium and Rare Earth Elements Project in Brazil’s Minas Gerais state. This environmental work is a critical step towards advancing the Preliminary Feasibility Study (PFS) for Tiros, which recently demonstrated robust economics with a post-tax NPV of US$715 million and a 44.2% IRR over 20 years. The company also plans to allocate funds for general working capital needs.

The Tiros project benefits from a JORC-compliant Mineral Resource Estimate and a Preliminary Economic Assessment that supports a capital-efficient staged development approach. The environmental program will help address regulatory requirements and community considerations essential for project advancement.

Offering Terms and Governance

The securities issued under the placement are subject to a statutory hold period of four months plus one day, consistent with Canadian securities laws and TSX Venture Exchange policies. Resouro paid a modest cash finders’ fee of $4,500 related to the offering, and no related parties or their associates participated in the placement.

The company reiterated that none of the shares issued are registered under U.S. securities laws, and they cannot be offered or sold in the United States except under specific exemptions. This aligns with the company’s ongoing compliance with cross-border regulatory frameworks.

Resouro remains focused on progressing its mineral projects in Brazil, including the Novo Mundo gold project, while strengthening its financial position to support development milestones. The upsized placement and strong investor appetite may provide the company with greater flexibility as it advances toward feasibility and potential production phases.

Bottom Line?

Resouro’s upsized placement signals growing investor confidence, but final TSX approval and the timing of the second tranche will be key to watch.

Questions in the middle?

  • When will the second tranche of the private placement close and what impact will it have on project timelines?
  • How will the environmental program funded by this raise influence the schedule and scope of the Tiros Preliminary Feasibility Study?
  • Could further capital raises be necessary if the PFS or project development encounters delays or cost escalations?
