First Au Limited (ASX:FAU) has announced plans to consolidate its shares on a 20:1 basis, a move designed to reduce the number of securities on issue and create a capital structure better suited to its current size and stage. The consolidation will affect all shares, options, and performance rights, maintaining shareholders’ proportional ownership aside from minor rounding adjustments.
The board believes this restructuring will provide a more appropriate share price level and simpler capital framework as the company advances its Western Australian gold projects. The proposal is subject to shareholder approval under the Corporations Act, with a Notice of General Meeting forthcoming.
Capital Structure Before and After Consolidation
Pre-consolidation, First Au has approximately 3.76 billion shares on issue, alongside 339 million options and 357 million performance rights. Post-consolidation, these figures will reduce to roughly 188 million shares, 17 million options, and 18 million performance rights respectively, reflecting the 20:1 ratio.
Options and performance rights will have their exercise prices adjusted in line with the consolidation ratio, as per ASX Listing Rules. Fractional entitlements arising from the consolidation will be rounded up or otherwise managed according to the company's constitution and ASX rules.
