- Retail entitlement offer raises A$26 million

Retail Entitlement Offer Surpasses A$26 Million
Lotus Resources (ASX:LOT) has wrapped up its retail entitlement offer, securing around A$26 million by issuing approximately 117.9 million new shares at an offer price of A$0.22 each. This follows the institutional entitlement offer completed in late July, which raised A$34.2 million, bringing the total equity raising to roughly A$60 million.
Oversubscription Facility Fully Subscribed
Eligible retail shareholders were able to apply for additional shares beyond their entitlement, up to 50% more, under an oversubscription facility. The uptake was strong, with about A$23.7 million subscribed including oversubscriptions. Entitlements not taken up by retail shareholders or ineligible participants, valued at approximately A$2.2 million, will be allocated to sub-underwriters. Canaccord Genuity (Australia) Limited served as lead manager, underwriter, and bookrunner for the raising.
Funds to De-Risk Kayelekera Ramp-Up
The proceeds from the entitlement offer, combined with a proposed A$35 million senior unsecured convertible note (pending shareholder approval), a US$30 million inventory-backed prepayment facility, and existing cash reserves, will provide Lotus with financial flexibility as it pushes the Kayelekera uranium project towards steady-state production. The project has faced operational challenges and delays earlier in the year, but these funds aim to underpin its continued ramp-up.
Upcoming Shareholder Meeting and Next Steps
Lotus has scheduled a general meeting for 2 September 2026 to seek shareholder approval for the convertible note offer and detachable warrant offer, with allotment planned for 7 September. Meanwhile, settlement of new shares from the retail entitlement offer is set for 19 August, with issuance the following day. These capital injections will be closely watched as the company navigates the transition to stable production and addresses prior operational setbacks.
Bottom Line?
The fresh equity injection strengthens Lotus’s balance sheet ahead of critical milestones for Kayelekera, but shareholder approval of convertible notes remains a key upcoming hurdle.
Questions in the middle?
- Will shareholder approval for the convertible note offer be secured in September?
- How effectively will the combined funding package mitigate operational risks at Kayelekera?
- What impact will the increased share count have on Lotus’s stock liquidity and valuation?
