- Plans for immediate exploration and copper spinoff
Strategic Acquisition Broadens Rare Earths and Copper Holdings
AuKing Mining Limited (ASX:AKN) is significantly expanding its footprint in Malawi with the agreed acquisition of 100% of Green Exploration Limited (GEL). This move instantly adds several exploration licences to AuKing's portfolio, including the Machinga Heavy Rare Earths Project, Salambidwe Rare Earths, Ngala Hill Copper/PGE, and Karonga Copper projects. The acquisition brings together a diverse set of critical mineral assets, positioning AuKing as a growing player in a geopolitically strategic region for rare earths and base metals.
Salambidwe and Ngala Hill Offer Untapped Potential
The Salambidwe Rare Earths Project, situated in southern Malawi near the Mozambique border, has seen extensive historical rock chip and soil sampling, as well as recent airborne geophysical surveys. Notably, rock chip samples from 2010 and 2012 revealed total rare earth oxides (TREO) up to 2.05% and niobium oxide (Nb2O5) concentrations reaching 7,924 ppm. Despite these encouraging geochemical anomalies, no drilling has yet been conducted at Salambidwe, leaving its true resource potential untested.
Similarly, the Ngala Hill Project, also in southern Malawi, has demonstrated promising copper and platinum group element (PGE) mineralisation through historical trenching and limited drilling. Trenching by Phelps Dodge and Placer Dome in the late 1990s and early 2000s reported intercepts such as 64 metres at 1.41 g/t PGE+Au with 1,430 ppm copper and 70 metres at 1.12 g/t PGE+Au including higher-grade zones. However, diamond drilling to date has failed to fully intersect the mineralised zones, indicating the need for further exploration to delineate the deposit geometry and grade continuity.
Karonga Copper Project Remains Early-Stage
The Karonga Copper Project in northern Malawi is at an earlier stage, with limited historical exploration. Recent reconnaissance sampling by DY6 Metals (now Tusker Minerals) detected elevated copper mineralisation, but no drilling has been undertaken. AuKing intends to conduct geological mapping and systematic geochemical sampling to assess the project's potential.
Acquisition Terms and ASX Approval Conditions
The acquisition involves AuKing purchasing all issued shares in GEL, a wholly owned subsidiary of Tusker Minerals Limited. The deal includes A$50,000 in cash, 10 million AuKing shares valued at A$250,000 (subject to escrow), and 20 million performance shares worth A$500,000 linked to defined drilling milestones at Ngala Hill. The performance shares convert to ordinary shares upon achieving specific intercept grades and widths within three years.
Completion is conditional on ASX confirming that full listing rule re-compliance will not be required and on obtaining other regulatory approvals. This introduces some uncertainty, though the company expects to secure the necessary consents.
Immediate Exploration Plans and Future Spin-Off
AuKing is fully funded from existing cash reserves to immediately advance exploration across the newly acquired GEL portfolio. Planned activities include drone magnetic, radiometric, and LiDAR surveys at Machinga; detailed compilation and modelling of historical and recent data at Salambidwe; geological mapping and modern geophysical surveys, including electromagnetic methods, at Ngala Hill; and reconnaissance mapping and sampling at Karonga.
Additionally, AuKing is considering a copper-focused spinoff that would combine Ngala Hill and Karonga with its existing copper interests, aiming to unlock further shareholder value. This strategic move reflects AuKing's broader ambition to build a diversified critical minerals portfolio spanning rare earths, copper, uranium, and tin.
Historical Data Provides a Foundation but Requires Validation
The historical exploration results underpinning the value proposition at Salambidwe, Ngala Hill, and Karonga were compiled from previous owners including Globe Metals and Mining, DY6 Metals/Tusker Minerals, and independent consultants. While AuKing's competent person has reviewed these results and considers them reasonable for early-stage exploration, the company has not independently validated them to JORC 2012 standards. Future reporting will rely on AuKing's own exploration data following planned programs.
As such, the historical data should be treated as indicative rather than definitive, with the true extent and grade of mineralisation to be confirmed through upcoming drilling campaigns and geophysical work.
Bottom Line?
AuKing’s acquisition of Green Exploration accelerates its Malawi expansion but hinges on ASX approval and successful exploration to validate historical prospects.
Questions in the middle?
- Will ASX confirm no full re-compliance is needed for the GEL acquisition?
- How will upcoming drilling at Ngala Hill influence the performance share conversion?
- What timeline and structure will the proposed copper spinoff follow?
