OceanaGold Enters Australian Market with Katanning Acquisition
OceanaGold Corporation (TSX: OGC, NYSE: OGC) has announced a definitive agreement to acquire Ausgold Limited (ASX:AUC), owner of the Katanning Gold Project in Western Australia, in a deal valued at approximately A$776 million (US$549 million). This marks OceanaGold’s first Australian acquisition, expanding its portfolio to five assets across top mining jurisdictions including the USA, New Zealand, and the Philippines.
The acquisition is structured as a court-approved scheme of arrangement, under which Ausgold shareholders will receive 0.03365 OceanaGold shares per Ausgold share, or elect a cash alternative subject to a maximum cash pool of A$194 million. Post-transaction, Ausgold shareholders are expected to hold between 6% and 8% of OceanaGold, with the Ausgold Board and major shareholder Dundee Corporation (7.7% stake) backing the deal.
Katanning Gold Project: A Low-Capital, High-Quality Development
Katanning is a conventional open-pit gold project with a 3.6 million tonnes per annum carbon-in-leach processing plant planned, targeting over 100,000 ounces of annual gold production and a mine life exceeding 10 years. First gold production is expected in 2029 following further exploration and technical optimisation by OceanaGold.
Located approximately 275 km southeast of Perth, the project benefits from granted mining leases, advanced permitting progress including Environmental Protection Authority approval, and established infrastructure. A significant 54,000-metre drilling program is underway to de-risk the resource and support mine planning, with early works such as accommodation village construction already in progress. This development timeline anticipates a market update on OceanaGold’s refined plan shortly after transaction close.
Strategic Fit and Financial Strength
OceanaGold’s CEO Gerard Bond emphasised the strategic rationale, highlighting Katanning as a natural fit that complements the company’s existing operations and growth pipeline, including the Waihi North Project. The acquisition leverages OceanaGold’s technical expertise and financial capacity to fund development without jeopardising its balance sheet strength.
Financially, the transaction is expected to be accretive to OceanaGold shareholders on net asset value, cash flow, and earnings per share metrics once Katanning reaches commercial production. The company’s strong cash position of US$655 million as of June 2026, combined with undrawn credit facilities and forecast free cash flow, supports funding both the acquisition and ongoing organic growth initiatives.
Upside Potential in a District-Scale Land Package
Beyond the core Katanning deposit, Ausgold holds over 3,000 km² in the underexplored Katanning greenstone belt, offering substantial exploration upside. Initial drilling has identified extensions of mineralisation down-plunge and in satellite targets such as Stanley Shear and Nanicup-Zinger belts, suggesting the possibility of significant resource growth over time.
OceanaGold plans to apply its operational experience to optimise the project’s development plan, mitigate execution risks, and unlock further value from the district-scale landholding. This approach aligns with the company’s broader strategy of maximizing free cash flow from a diversified portfolio of assets.
Next Steps and Timelines
The scheme booklet detailing the transaction will be dispatched to Ausgold shareholders in October 2026, with a shareholder meeting scheduled for late November. Subject to shareholder and court approvals, as well as customary regulatory clearances including the Australian Foreign Investment Review Board and competition authorities, the transaction is expected to close in December 2026.
OceanaGold has also agreed to provide a A$20 million bridge loan to Ausgold in November 2026 to support ordinary business operations ahead of closing. Investors will be watching closely for updates on the project’s development plan and exploration results as OceanaGold integrates Katanning into its portfolio.
Bottom Line?
OceanaGold’s acquisition of Katanning strengthens its growth pipeline with a low-capital, high-potential asset in a Tier-1 jurisdiction, but execution and exploration outcomes will be key to unlocking value.
Questions in the middle?
- How will OceanaGold’s technical refinements affect Katanning’s development timeline and capital costs?
- What exploration results from the 54,000-metre drilling program could materially expand the resource base?
- How might the cash versus share election by Ausgold shareholders impact OceanaGold’s capital structure post-close?
