Recapitalisation Achieves $7.27 Million Minimum Subscription

Babylon Pump & Power Limited (ASX:BPP) has closed its entitlement offer, securing the minimum subscription target of $7.27 million. This total combines $2.5 million in fresh cash from shareholders and underwriters, alongside $4.77 million of debt converted into equity. Eligible shareholders subscribed for over 31 million new shares, raising approximately $1.57 million, while general underwriters will take up nearly 18.5 million shares, adding a further $0.93 million in cash.

Additionally, $1 million of previously announced convertible loans and $3.77 million of deferred cash consideration from the Blue Hire acquisition have been converted to equity via sub-underwriting arrangements. This mix of cash and debt conversion bolsters Babylon's equity base and reduces its debt burden.

Strategic Simplification Narrows Focus to Water Management Rentals

The recapitalisation follows Babylon’s deliberate exit from non-core operations, including the sale of Ausblast during FY26 and the divestment of Primepower Queensland post-year-end, effectively ending its maintenance segment involvement. The company now concentrates exclusively on its specialist water management rental business, which generated about $26 million in revenue and $9.4 million in underlying segment EBITDA in FY26.

This streamlined focus aims to leverage Babylon’s expanded rental platform and Tier 1 customer base, with management signalling disciplined investment in rental fleet expansion where justified by customer demand and returns. The strengthened balance sheet provides the flexibility to support ongoing operations and selectively grow the fleet.

Blue Hire Founder Byron Ynema Joins Board as Executive Director

Ynema brings over 20 years of experience in pumping and resource services, having grown Blue Hire prior to its acquisition by Babylon in August 2025. His appointment is expected to enhance operational expertise on the board as the company hones its water management rental operations.

Upcoming FY26 Results and ASX Trading Suspension Status

Babylon plans to lodge its FY26 financial results, annual report, and related documents on 31 August 2026. The company has applied to the ASX to lift the suspension on its securities, which has been in place during the recapitalisation and strategic reset.
