ABx locks in $4.1 million for rare earths and ALCORE
ABx Group has locked in approximately $4.1 million through a placement and fully underwritten share purchase plan, with strategic partner Good Importing International committing $1 million. $4.1 Million Raising Targets Two Development Priorities
ABx Group Limited (ASX:ABX) has secured approximately $4.1 million to keep its rare earths and clean fluorine projects moving, giving the company fresh funding at a point when both remain in development rather than production. The package comprises a $2.1 million placement and a fully underwritten $2 million share purchase plan.
Good Importing International, ABx’s strategic partner, will provide $1 million of the placement. The board and management have committed a further $100,000 to the placement, subject to shareholder approval, and intend to apply for another $60,000 through the share purchase plan. ABx says the balance is supported by existing and new investors.
Placement Brings Discounted Shares and Options
The placement will issue approximately 67.7 million shares at 3.1 cents each, an 18% discount to ABx’s 15-day volume-weighted average price of 3.78 cents. Investors will also receive about 33.8 million options, equivalent to one option for every two placement shares, with a 4.6-cent exercise price and three-year expiry.
That structure offers ABx more immediate capital, but it also increases the potential share count beyond the new ordinary shares. Alpine Capital, which is managing the placement, will receive 3% management and 3% selling fees on applicable funds, plus approximately 13.5 million options on the same terms as the placement options. The SPP underwriter will receive the same 3% management and selling fees on the underwritten amount, alongside two options for every share underwritten on the terms of ABx’s quoted ABXO options.
Deep Leads and ALCORE Sit Ahead of Shareholder Vote
ABx says the proceeds will fund work at the Deep Leads rare earths project in Tasmania, construction and commissioning of the ALCORE pilot plant, working capital and offer costs. The company’s stated aim is to advance both its rare earths commercialisation strategy and ALCORE’s continuous pilot plant at Bell Bay, although the announcement does not provide an updated cash balance, project economics or production forecast.
Eligible shareholders in Australia and New Zealand can apply for up to $30,000 worth of SPP shares. The SPP price will be the lower of 3.1 cents or 95% of the five-day VWAP through the closing date, with one 4.6-cent option attached for every two shares issued. The offer is fully underwritten, which supports the targeted $2 million raise, but the SPP securities, placement options, underwriter options and the $100,000 director placement all require shareholder approval at an extraordinary meeting scheduled for 29 October 2026.
The next test is therefore not simply whether ABx can raise the advertised amount, but how much equity and option capacity shareholders ultimately approve and how quickly the funding translates into progress at Deep Leads and ALCORE. The indicative timetable points to SPP results before 30 October, leaving the October meeting as the key near-term checkpoint for the capital structure and project runway.
