12 October target set for Kazakhstan approval in Cygnus takeover

Cygnus has cleared the remaining conditions tied to its options and share rights, but Central Asia Metals now expects Kazakhstan approval after the scheduled 23 September court date. The proposed takeover timetable will be pushed back, with approval currently expected by 12 October.

Cygnus Metals Limited (ASX:CY5; TSXV: CYG; OTCQB: CYGGF) will seek to defer the next court hearing for its proposed takeover by Central Asia Metals PLC (AIM: CAML), after the key Kazakhstan regulatory approval failed to arrive in time for the scheduled 23 September date.

The delay does not currently signal a change to the proposed scheme itself. Cygnus said all options have either been exercised or covered by replacement deeds, while all share rights have been converted into Cygnus shares. Those conditions precedent are now satisfied.

Kazakhstan approval remains the timetable gate

The unresolved condition is approval from Kazakhstan’s Ministry of Industry and Construction. CAML told Cygnus that the ministry has raised no adverse comments or objections to the application and does not require further information before making a decision.

However, changes to the ministry’s administrative procedures required CAML to resubmit the application electronically on 18 September. CAML said the resubmission was procedural rather than related to the application’s merits. Although a statutory 30-day review period would ordinarily apply, the company has received assurances that the application will be processed as soon as practicable and expects approval on or before 12 October.

Court timetable to be reset

Cygnus will approach the Supreme Court of Western Australia to move the Second Court Date as close as practicable to the forecast approval date. The revised hearing date has not yet been settled, and Cygnus said it could seek to bring the date forward if Kazakhstan approval arrives earlier.

The company said it is not aware of any reason why the other outstanding scheme conditions will not be satisfied or waived in the ordinary course before the revised hearing. That leaves the transaction dependent on a government decision that remains outstanding, followed by the court process and an amended implementation timetable.
