Cygnus Metals’ proposed takeover by Central Asia Metals has been pushed into October after a required Kazakhstan regulatory approval remained outstanding. The revised timetable targets scheme implementation on 27 October, but the dates remain conditional.

Kazakhstan approval delays court hearing
Cygnus Metals Limited (ASX:CY5, TSXV:CYG, OTCQB:CYGGF) will have to wait longer for the court step required to advance its proposed acquisition by Central Asia Metals PLC (AIM:CAML). The Supreme Court of Western Australia has adjourned the Second Court Hearing from 23 September to 14 October because Kazakhstan regulatory approval remains outstanding.
The hearing is now scheduled for 2:15pm AWST on 14 October at Perth’s David Malcolm Justice Centre. Cygnus requested the adjournment to allow additional time for the approval condition to be satisfied or waived.
CAML expects approval before October hearing
Central Asia Metals remains confident the required approval will be granted and has told Cygnus it expects that outcome on or before 12 October. That is an expectation rather than a completed condition: as at the announcement date, the approval had not been received.
If approval arrives earlier, Cygnus says it will notify the ASX and assess whether the Second Court Hearing can be brought forward. The timing leaves the transaction dependent on both the regulatory decision and the subsequent court process.
Indicative implementation date moves to 27 October
Under the revised indicative timetable, Cygnus shares are expected to be suspended from trading on the ASX and TSXV at close of trading on 15 October. The Scheme Record Date is set for 19 October, with implementation now targeted for 27 October 2026.
Those dates are not guaranteed. Cygnus cautions that the timetable depends on court approval and the satisfaction or waiver of the remaining conditions, meaning another change remains possible if the Kazakhstan approval or court process takes longer than expected. The company is due to provide shareholders with details of the new hearing date and the process for appearing or opposing the scheme by 9 October.
