Unity Metals funds next drilling push with $3.5m placement and option sweetener

Unity Metals has secured an oversubscribed $3.5 million placement and plans a further $1 million share purchase plan to accelerate drilling across its Cambodian gold projects. The raise gives the explorer funding to test extensions at O’Phlay and new targets at Ngot, but also brings dilution and shareholder-approval hurdles.

Placement funds October drilling campaign

Unity Metals Limited (ASX:UM1) has raised a committed $3.5 million from institutional and sophisticated investors, giving the Cambodia-focused explorer capital to restart drilling at its O’Phlay discovery in early October. The placement was oversubscribed and will issue 23,333,333 shares at $0.15 each, alongside 11,666,667 unlisted options.

The options are attached at a ratio of one for every two new shares and can be exercised at $0.225 for two years from issue. The placement price represents an 11.8% discount to Unity’s last traded price of $0.17, with deeper discounts to its five-day and 15-day volume-weighted average prices.

Unity also plans to seek another $1 million through a share purchase plan open to eligible existing shareholders on the same $0.15 share price and option terms. Participation is voluntary, and the company may scale back or accept more than the targeted amount. The SPP options, like the options attached to the placement, will not be quoted on ASX and require shareholder approval before issue.

O’Phlay takes centre stage

Most of the new money is earmarked for Phase 2 extensional and infill drilling at O’Phlay’s Camp Prospect, where Unity has reported intercepts of 40 metres at 1.9 grams per tonne gold and 70.1 metres at 1.1 grams per tonne. The company says the next campaign will test strike and depth extensions and could, depending on results, support progress towards a maiden mineral resource estimate.

Regional drilling will also target demagnetised zones interpreted as possible stockwork-vein systems at the Toulsroloav and Small Creek prospects. Both areas contain extensive historical mine workings and anomalous gold results in soil and rock-chip samples, although the filing does not establish that these targets will produce an economic discovery.

Ngot work and near-term assays

At the Ngot Gold Project, Unity plans geophysical-target drilling at Rohav Mountain, deeper drilling at Ngot Central and maiden drilling at Mesam South, alongside regional exploration. A further slice of funding is allocated to rock-chip and soil geochemistry and geophysical surveys at the Loei Copper-Gold Project in Thailand, with the balance reserved for working capital and project development.

The immediate test for the market is likely to be assay results from diamond holes 26DDCM006 and 26DDCM007 at O’Phlay’s Camp Prospect, expected in late September. Placement shares and attached options are expected to be issued around 1 October, while the planned SPP and the November general meeting will determine how much additional capital is ultimately raised and whether the SPP and lead-manager options proceed.

There is a clear trade-off in the structure. Unity has bought exploration runway at a price below recent trading levels, but existing holders face dilution from the new shares and the possibility of further dilution if the options are exercised. The lead manager, Alpine Capital, is also due a 4% capital-raising fee, a 2% management fee and 3,888,889 options, half exercisable at $0.225 and half at $0.263, subject to shareholder approval.

Bottom Line?

The raise removes an immediate funding constraint, but the investment case now rests on whether October drilling converts promising gold intersections and targets into a coherent mineralised system.
