Suncorp Rejects Takeover Speculation

Suncorp Group Limited (ASX:SUN) has denied it is in takeover discussions with Tokio Marine, responding to an ASX price query after its shares jumped more than 5% from the previous close. The company said it had not received a takeover offer.

Suncorp shares closed at $19.05 on 29 September and reached an intraday high of $20.18 on 30 September, according to the exchange. ASX Compliance also pointed to a significant increase in trading volume over the same period.

Media Report Prompted Exchange Inquiry

The price move came shortly after a speculative article in the online edition of The Australian reported that Tokio Marine and Suncorp had allegedly held preliminary takeover talks. Suncorp said it was aware of the article and identified it as the explanation it could offer for the recent trading.

“Suncorp confirms that it is not in discussions regarding a takeover and that it has not received a takeover offer,” chief financial officer Jeremy Robson wrote in the company’s response to ASX Compliance.

Continuous Disclosure Confirmed

Suncorp told the exchange it was not aware of any information concerning the company that had not been announced to the market and which could explain the trading activity. It also confirmed compliance with the ASX Listing Rules, including Listing Rule 3.1 on continuous disclosure.

The exchange’s letter said the company’s response was required by 9:00am AEST on 1 October and warned that a trading halt or suspension could arise if Suncorp could not respond as required. Suncorp’s reply was authorised under its continuous disclosure policy or by an appropriately delegated officer.

The filing removes any immediate confirmation of a Tokio Marine approach, but it does not settle how investors will value Suncorp after the sharp move. The company’s statement addresses current discussions and offers; it does not make any prediction about whether a future approach could occur.
