Six licences extend First Au’s Riverina footprint

First Au Limited (ASX:FAU) is expanding its position in the Eastern Goldfields through a binding agreement to acquire the Lady Jane Gold Project from Dynamic Metals Limited (ASX:DYM). The project comprises six exploration licences in the Ora Banda district, directly north of First Au’s Riverina East tenure, giving the company a larger contiguous exploration platform in a well-established gold region.

Lady Jane sits near Ora Banda Mining’s (ASX:OBM) Davyhurst operations, including the Riverina and Sand King underground mines and the Davyhurst processing facility. The tenements cover Archean greenstone geology around the Zuleika Shear and Ida Fault, the same regional structural setting associated with Ora Banda’s Riverina and Sand King operations. That proximity offers geological reference points and potential infrastructure optionality, although the announcement does not establish that Lady Jane contains an economic deposit.

Deferred payment limits immediate cash outlay

The acquisition carries A$50,000 payable on signing and A$100,000 on completion. A further A$500,000 will be due on the first anniversary of completion, with Dynamic Metals able to choose cash or First Au shares. Any share issue would require shareholder approval under ASX Listing Rule 7.1 and would be priced against First Au’s 20-trading-day VWAP before that anniversary.

Dynamic Metals will also retain a 1.5% gross revenue royalty. The structure keeps the immediate cash consideration to A$150,000, but shifts part of the eventual funding decision to a later date and leaves First Au exposed to potential dilution or a larger cash payment depending on the seller’s election.

Drilling obligation sets a near-term work programme

First Au must incur at least A$250,000 on drilling within the Lady Jane tenements during the first 24 months after completion. Dynamic Metals has already undertaken soil sampling and geological mapping across the project, providing a starting dataset and identified areas for follow-up work, according to First Au. The announcement contains no new exploration results, so the value of those targets remains untested by drilling in the disclosed material.

Completion still depends on required approvals, consents and any necessary assignment or similar agreements with third parties. First Au’s wider Riverina Project covers 340 square kilometres and includes the historic First Hit gold mine, which previously produced 30,000 ounces at an average head grade of 7.7 grams per tonne. With Lady Jane now tied to that broader landholding, the immediate question is whether the mandated drilling can convert a strategically located package into evidence of fresh mineralisation.

The transaction is inexpensive upfront, but its investment case now turns on completion, target generation and whether the required drilling produces meaningful results.
