- EQT says it will not make the proposal less favourable to Cleanaway shareholders

EQT Keeps Cleanaway Proposal Alive
Cleanaway Waste Management Limited (ASX:CWY) has given EQT Infrastructure more time to complete its pursuit of the waste services group, extending exclusivity to 7am on Monday 19 October 2026. The extension keeps the potential scheme of arrangement moving, but it is not the same thing as a signed deal.
EQT told Cleanaway on 11 October that it is finalising its due diligence review and remains committed to proceeding on the terms of its proposal. It also said it does not intend to vary those terms in a way that would make the transaction less favourable to Cleanaway shareholders. That is a reaffirmation of the offer position, not a new price or a binding commitment to complete.
Implementation Deed Remains the Key Hurdle
The parties are continuing to negotiate and execute an implementation deed, the document that would turn the current non-binding process into a formal transaction proposal capable of being put to shareholders. The latest update follows the Cleanaway said there is still no certainty that EQT's proposal will result in a binding offer, that an implementation deed will be signed, or that any transaction will proceed. Shareholders do not need to take action at this stage, leaving the next material signal likely to be either a signed deed or another update before the extended exclusivity deadline. The announcement contains no revised offer price, valuation or other new transaction economics. For shareholders, the immediate change is procedural but significant: EQT has retained access to the exclusive process while it completes diligence, and Cleanaway has chosen to keep negotiations open for another week. The central tension is therefore unchanged. EQT says it remains committed to the proposal and will not make its terms less favourable, yet the process still depends on unfinished diligence and an implementation deed that has not been executed. The 19 October deadline is the next clear test of whether EQT can convert its reaffirmed interest into a binding transaction. No New Offer Economics in Latest Update
