Free options add another layer to Nyrada’s capital raise
Nyrada Inc. (ASX:NYR) has lodged a prospectus for approximately 10.74 million free attaching options, extending the security package attached to its recent equity raising. Eligible CDI holders who participated in the placement or security purchase plan will receive three options for every four CDIs issued, with no additional payment required to receive them.
The options are exercisable at $0.93 each on or before 25 September 2028. If every option were exercised, Nyrada would receive approximately $9.98 million before costs, but the prospectus makes clear that the proceeds are conditional: holders may allow the options to lapse, particularly if the CDI price is below the exercise price when the deadline approaches.
The offer follows Nyrada’s AU$12 million placement, which was directed to institutional and sophisticated investors, alongside the non-underwritten SPP. The prospectus assumes the SPP raises approximately $2 million, although the company may accept oversubscriptions, which would change the final number of CDIs and options issued.
Option count rises while dilution remains conditional
Nyrada’s options on issue are expected to increase from 45.14 million to 55.87 million once the offer is completed. The prospectus estimates that approximately 10.74 million options will be issued under this offer, representing about 3.38% of the then total issued capital on a fully diluted basis under the stated SPP assumption.
The immediate issue of the options does not change control of the company. However, any subsequent exercise would create new CDIs and could alter individual holders’ ownership percentages. The company estimates the offer itself will reduce cash reserves by approximately $55,000, mainly reflecting offer expenses, while the much larger potential cash inflow depends on future exercise decisions.
Piggyback option structure moves to a later prospectus
Each option exercised by 25 September 2028 is intended to qualify its holder for one piggyback option, exercisable at $1.40 until 30 September 2030. Those piggyback options will not be issued immediately, however. Nyrada said external legal advice indicated ASIC was unlikely to provide the relief needed to extend the current prospectus arrangements, so it will prepare a separate prospectus around September 2028.
That change is designed to allow SPP participants to access the piggyback options on the same terms as placement participants, but it also leaves a further disclosure and execution step ahead. The current offer is not underwritten, and ASX quotation of the new option class remains subject to approval.
Clinical funding remains the underlying investment question
Nyrada is using the broader capital-raising program to fund its clinical-stage biotechnology operations, including the Phase IIa development of Xolatryp in patients with ST-Elevation Myocardial Infarction. The prospectus says the placement and SPP are expected to provide funding for 18 to 24 months, while warning that additional development costs or accelerated programs could require more capital.
For holders, the options offer future exposure to Nyrada at a fixed price rather than an immediate cash obligation. The important variables are whether the clinical program advances sufficiently to support exercise economics, whether the SPP finalises above or below its assumed size, and whether the company can secure ASX approval and grant the options on the expected timetable.
Bottom Line?
The immediate value is optionality rather than cash: Nyrada receives no exercise proceeds unless its clinical progress and market price support conversion before September 2028.
Questions in the middle?
- Will ASX approve quotation of the new option class and will the expected 30 October 2026 grant proceed on schedule?
- How much will the SPP ultimately raise, and how will that alter the final option count and dilution profile?
- Can Xolatryp’s Phase IIa progress create conditions in which holders choose to exercise at $0.93 and later pursue the $1.40 piggyback option?
