Peet has lodged its draft scheme booklet, including the independent expert’s report, with ASIC as the proposed Ingenia takeover advances towards a shareholder vote. The transaction is targeted for implementation in late December, subject to regulatory, court and shareholder approvals.

ASIC Review Opens the Next Takeover Stage

Peet Limited (ASX:PPC) has lodged the draft scheme booklet for its proposed takeover by Ingenia Communities Group (ASX:INA), putting the transaction through a key procedural gate ahead of a shareholder vote. The booklet includes the draft independent expert’s report, although its conclusion has not been disclosed in this announcement.

The filing advances the deal first framed in the $2.185 per share Ingenia offer, which combined cash and Ingenia stapled securities. Peet’s current announcement does not restate the consideration or provide any new valuation detail; its focus is the timetable and approval process.

Court Hearing and Shareholder Vote Set the Pace

ASIC’s review is expected to be followed by a first court hearing in late October. If the court approves the booklet and orders a shareholder meeting, Peet expects the materials to be released and dispatched in early November.

The Scheme Meeting is targeted for early December, with implementation anticipated in late December 2026. Those dates remain indicative and depend on the court process, ASIC review and other conditions attached to the scheme.

Board Recommendation Remains Conditional

Peet’s board continues to unanimously recommend that shareholders vote in favour of the scheme, provided there is no Superior Proposal and the independent expert concludes, and continues to conclude, that the transaction is in shareholders’ best interests. Each director has also confirmed an intention to vote, or arrange for the voting of, shares they control in favour of the scheme, subject to those qualifications.

The next meaningful disclosure will be the final scheme booklet and the independent expert’s opinion. Until those materials are released and shareholders vote, the proposed acquisition remains a process in progress rather than a completed transaction.

Bottom Line?

The timetable is becoming more defined, but the independent expert’s final view, court approval and the December shareholder vote remain the decisive checkpoints.

Questions in the middle?

  • Will ASIC or the court require changes to the scheme booklet before it reaches shareholders?
  • Will the independent expert conclude that the scheme is in shareholders’ best interests?
  • Will any Superior Proposal emerge before Peet shareholders vote in early December?
