TechGen Metals has agreed to transfer its entire interest in the Ida Valley Gold Project to First Au for A$100,000 in cash and A$100,000 worth of First Au shares. The transaction remains conditional on due diligence and shareholder approval.

  • 100% interest in Ida Valley Gold Project to be transferred to First Au
  • A$100,000 exclusivity fee already received in cash
  • Further A$100,000 consideration to be paid in First Au shares
  • Completion depends on due diligence and shareholder approval
  • Share number will be based on First Au’s 15-day VWAP before completion

TechGen Agrees to Transfer Entire Ida Valley Interest

TechGen Metals Limited (ASX:TG1) has agreed to sell 100% of its interest in the Ida Valley Gold Project to First Au Limited (ASX:FAU), converting the Western Australian project into immediate cash and potential equity exposure to the buyer.

The consideration totals A$200,000: First Au has already paid TechGen an A$100,000 exclusivity fee, while a further A$100,000 is due in fully paid First Au ordinary shares. The share quantity is not fixed, with the issue price to be calculated using First Au’s 15-day volume-weighted average price up to, but excluding, completion.

Completion Still Depends on First Au’s Review

Despite the agreement being described as binding, the transfer is not yet unconditional. First Au has 10 business days from execution to notify TechGen whether it is satisfied with its due diligence on Ida Valley, which comprises tenements E 29/1053 and E 36/1015.

First Au must also secure any shareholder approvals required under the Corporations Act or ASX Listing Rules within 90 days of execution. Until those conditions are satisfied or waived where permitted, TechGen remains exposed to the possibility that the transaction does not complete.

Cash and Equity Add to TechGen’s Exploration Portfolio

The deal gives TechGen a modest cash inflow and a stake in First Au, while removing Ida Valley from its project inventory. The announcement does not disclose an independent valuation for the project or say how TechGen intends to use the A$100,000 cash payment.

That decision comes as the explorer advances a wider campaign across gold, copper and silver assets. Recent company coverage has highlighted funded exploration campaigns across Western Australia and New South Wales, including drilling and pending assays. The Ida Valley transaction therefore adds a portfolio-allocation angle, although the filing does not state that the divestment is funding any particular programme.

Due Diligence and Shareholder Approval Set the Next Tests

The immediate catalysts are First Au’s due diligence decision, any required shareholder vote and the eventual completion notice. If the transaction proceeds, the final number of First Au shares will depend on its market price before completion, leaving the value of the equity component variable until the issue is made.

Bottom Line?

The headline value is set at A$200,000, but the transaction’s practical outcome still hinges on First Au’s due diligence, shareholder approval and the value of the shares issued at completion.

Questions in the middle?

  • Will First Au confirm that its due diligence has been satisfactory within the 10-business-day window?
  • Will First Au shareholders approve the consideration share issue within the required timeframe?
  • How will TechGen deploy the cash and manage the final First Au shareholding if completion occurs?
