Arena REIT says Edge Early Learning has agreed or signed term sheets to sell a further 22 centre businesses, including all seven remaining Edge-operated centres at Arena properties. Rent continues to flow across the 27 affected properties, but operator changes still require due diligence, approvals and lease assignments.
- Further sale agreements or term sheets cover 22 Edge centre businesses
- Seven remaining Edge-operated centres at Arena properties included
- Rent continues across all 27 Arena-owned Edge centres
- Montessori Academy named as proposed operator at two South Australian centres
- Approximately $4 million held in guarantees and security deposits
Seven Arena Centres Enter Operator Transition Process
Arena REIT (ASX:ARF) is moving towards a full reset of its Edge Early Learning exposure, with the childcare operator’s administrator announcing binding agreements or term sheets with six parties covering a further 22 centre businesses. The transactions include the seven remaining Edge-operated centres located at Arena properties.
The update extends the process outlined in the Goodstart centre transaction, which conditionally covered 20 of Arena’s 27 Edge-occupied properties. Arena says it has engaged with proposed operators for the remaining seven centres and is now conducting due diligence before deciding whether to consent to the lease assignments.
Montessori Academy Named at Two South Australian Centres
Four proposed tenants are involved across the seven properties. Montessori Academy has been identified for two South Australian centres, while three other experienced operators have been proposed for the remaining five Queensland properties.
Progress is further advanced at four centres currently controlled by Arena: one has executed lease documentation and two have signed term sheets with Montessori Academy. Those arrangements remain conditional on regulatory approval, leaving at least some of the proposed transitions short of completion.
Rent Continues While Approvals Remain Outstanding
Arena says it is currently receiving rent across all 27 of its properties occupied by Edge, while the proposed transactions and the Goodstart transaction remain in progress. The arrangements are still subject to confirmatory due diligence, final sale documentation, transfer of service approvals and assignment of leases.
That distinction matters: the announcement provides evidence of a pathway towards replacement operators, but does not disclose transaction values, completion dates or final rental terms. Arena also says it continues to reserve all legal rights and holds approximately $4 million in bank guarantees and security deposits over the Edge leases.
Bottom Line?
The immediate test is whether proposed operators convert into approved tenants without interrupting rent collection across Arena’s 27 affected properties.
Questions in the middle?
- How quickly will the remaining lease assignments and service approvals be completed?
- Will all seven replacement operators ultimately receive Arena’s consent and regulator approval?
- Does the transition preserve existing rental income and security coverage for Arena?
