Kazakhstan approval removes a major takeover condition

Central Asia Metals PLC (AIM:CAML) has received the Kazakhstan regulatory approval required for its proposed acquisition of 100% of Cygnus Metals Limited (ASX:CY5, TSXV:CYG, OTCQB:CYGGF), taking the transaction into its final court-driven stage.

The approval resolves the regulatory issue that had delayed the timetable. Cygnus previously disclosed that the Kazakhstan approval delay had pushed the Second Court Hearing from September into October. The company now expects the remaining conditions precedent to be satisfied or waived, where applicable, at or immediately before the hearing.

Second Court Hearing remains scheduled for 14 October

The Second Court Hearing is scheduled for 2:15pm AWST on Wednesday, 14 October, at the David Malcolm Justice Centre in Perth. That hearing is the next decisive step in the scheme of arrangement under which CAML would acquire Cygnus.

The announcement does not say that all remaining conditions have already been confirmed as satisfied. Completion therefore still depends on the court process and any applicable conditions being met or waived. The timetable is expressly indicative and may change for reasons outside the companies’ control.

Trading suspension and 27 October implementation target

Cygnus expects its shares to be suspended from trading on the TSX Venture Exchange after the close of trading on 14 October in Canada and on the ASX after the close of trading on 15 October in Australia. The scheme’s proposed implementation date remains Tuesday, 27 October, when new CAML shares are expected to begin trading on AIM.

Between those points, the current timetable provides for the court orders to be lodged with ASIC on 15 October and the scheme record date to fall on 19 October. Those dates are not guarantees of completion: the company has warned that time-zone differences and the court approval process may affect the precise sequence of events.

Bottom Line?

The regulatory hurdle has been cleared, but the transaction still needs court approval and final satisfaction or waiver of the remaining conditions before shareholders reach implementation.

Questions in the middle?

  • Will the Second Court Hearing approve the scheme on 14 October?
  • Have all remaining conditions been formally satisfied or waived before the hearing?
  • Will the indicative 27 October implementation date hold without further timetable changes?
