Euroz Hartleys says several conditions for its A$145 million sale of the Capital Markets business to BMO have now been satisfied, leaving shareholder approval and Canadian Bank Act approval among the key remaining gates. Completion remains on track for the December quarter.

  • A$145 million cash sale to BMO remains on track for completion this quarter
  • Shareholders vote on the transaction and capital return on 16 October
  • Canadian Bank Act approval remains outstanding, while CIRO and Ontario approvals are secured
  • ANZ and Westpac consents, ASIC licence variation and key employment arrangements are complete
  • Special dividend and capital return details will follow completion

BMO Sale Moves Towards Final Approval

Euroz Hartleys Group Limited (ASX:EZL) says its proposed A$145 million cash sale of the Capital Markets business to BMO Australia has cleared several conditions since the transaction booklet was sent to shareholders. The deal remains on track for completion this quarter, although the final outcome still depends on shareholder approval, Canadian regulatory clearance and other outstanding separation work.

The transaction, first announced as a plan to sell the Capital Markets division while retaining the Private Wealth business, is now heading into its decisive stage. Shareholders will vote at a general meeting on 16 October after the was recommended by the independent board committee.

Shareholder Vote and Canadian Bank Act Approval Remain Central

Approval under ASX Listing Rule 11.2 and approval of benefits to key executives are due to be considered at the meeting and cannot be waived. The Independent Expert, Lonergan Edwards & Associates, continues to conclude that the transaction is fair and reasonable to, and in the best interests of, Euroz Hartleys shareholders, in the absence of a superior proposal.

On the regulatory front, BMO has lodged its application for approval under the Canadian Bank Act and remains engaged with the relevant Canadian regulator. Non-objection letters from the Canadian Investment Regulatory Organization and the Ontario Securities Commission have already been obtained, leaving the Bank Act approval as the principal Canadian regulatory step still outstanding.

Operational Conditions Continue to Fall Into Place

Euroz Hartleys has received consent from financiers ANZ and Westpac, completed the variation of its Australian Financial Services Licence with ASIC, and secured a suitably qualified finance responsible manager for BMO's AFSL application. All key executives have accepted BMO employment offers, with none having withdrawn.

Other work is less complete. Consents relating to the QV1 lease and specified material contracts remain in progress, while the Zenix Restructure and separation works are underway. A corporate authorised representative agreement has been signed; three further agreements are in agreed form and are to be executed before completion.

Capital Return Still Follows Completion

The independent board committee continues to unanimously recommend the transaction, the capital return and associated resolutions, subject to there being no superior proposal and the Independent Expert maintaining its conclusion. Directors also intend to vote shares they control in favour, where permitted.

The company says it is not currently aware of any matter that would prevent the conditions being satisfied by the 31 January 2027 end date. The special dividend and capital return are to be announced separately after completion, so shareholders do not yet have the final timing or distribution details.

Bottom Line?

The 16 October vote is the immediate catalyst, but the Canadian Bank Act approval and unfinished separation work still stand between the announcement and the cash return to shareholders.

Questions in the middle?

  • Will shareholders approve the transaction and associated capital return at the 16 October meeting?
  • How quickly will BMO secure the outstanding Canadian Bank Act approval?
  • What dividend and capital return amounts will Euroz Hartleys announce once completion occurs?
