CEO Elevation Creates Internal Leadership Continuity
LGI Limited is recasting its senior leadership around an internal succession plan, with current Chief Executive Officer Jarryd Doran to become Managing Director and CEO on 1 December 2026. His responsibilities as CEO will remain unchanged, while his total fixed remuneration will stay at $450,000 plus superannuation.
The appointment gives Doran the company’s top executive title without introducing a new fixed-pay package. Chairman Rod Duke said the move provides “clear executive leadership” as LGI enters its next phase of growth, although the announcement does not attach new financial targets or operating guidance to the change.
Managing Director Moves Into Strategic Growth Role
Adam Bloomer will cease as Managing Director but remain an Executive Director, taking responsibility for strategic growth from the same effective date. His remit will cover strategy, investment, capital allocation and growth opportunities, with fixed remuneration unchanged.
That division of duties separates day-to-day executive leadership from longer-term investment and expansion work. It also comes as LGI has been pursuing a larger renewable generation platform, including its recently announced acquisition of two Queensland solar farms that would add 42MW of operating export capacity.
Long-Dated Options Put Shareholder Approval On The Agenda
The proposed incentive package is the most material shareholder-facing element of the announcement. Doran is being offered 1.8 million unlisted options under LGI’s Omnibus Incentive Plan, exercisable at $2.75 and expiring eight years after grant, subject to approval at the upcoming annual general meeting.
The options would vest in four equal 25% tranches after three, four, five and seven years of continuous employment. They replace Doran’s previously announced short-term and long-term incentives. Selected executives and senior managers, excluding Doran, have been offered a further 4.061 million options on the same stated exercise price and eight-year structure, although the filing does not provide their individual allocations or full vesting terms.
Board Expertise Retained And Internal Promotions Made
Dr Jessica North will move from Executive Director to Non-Executive Director and Advisor, retaining a specialist role while stepping away from day-to-day management. She will receive the same remuneration as existing non-executive directors plus a $20,000 annual retainer for mentoring and technical support.
Elsewhere, former company secretary Hasaka Martin will return to the role, replacing Priyamvada Rasal, while Thomas O’Connor and Matthew Tap will be promoted internally to Chief Operating Officer and Chief Development Officer. The appointments preserve experience inside the business, but the proposed options mean the AGM will also have to weigh the longer-term incentive structure and its eventual effect on the share register.
Bottom Line?
The restructure offers continuity and clearer role separation, but the AGM will be the key test of shareholder support for the 5.861 million proposed options and their potential dilution.
Questions in the middle?
- Will shareholders approve the proposed option grants at the AGM, and what dilution will they represent against LGI’s shares on issue?
- Can the split between executive leadership and strategic growth accelerate LGI’s renewable asset expansion without blurring accountability?
- What performance measures, if any, will govern the 4.061 million options proposed for other executives and senior managers?
