2.278 billion shares to 45.552 million under Enova proposal

Enova Mining has proposed a 50-for-1 share consolidation that would reduce its current share count from about 2.278 billion to roughly 45.552 million, subject to shareholder approval. The final post-consolidation figure could be substantially higher if its proposed funding and Brazilian acquisition securities proceed.

  • 50-for-1 consolidation proposed for shareholder approval on 13 November 2026
  • Current shares would fall from approximately 2.278 billion to 45.552 million
  • Potential post-consolidation count rises to about 95.515 million if related securities are issued
  • Options would be consolidated and exercise prices adjusted in the inverse ratio
  • Effective date is proposed for 23 November 2026, subject to timetable changes

Enova puts 50-for-1 consolidation to shareholders

Enova Mining Limited (ASX:ENV) is proposing a 50-for-1 share consolidation, a substantial reset for a company whose current issued capital stands at approximately 2.278 billion ordinary shares. If approved, that figure would fall to about 45.552 million shares, subject to rounding.

The vote is scheduled for 13 November 2026. Enova says the proposal is intended to bring its capital structure closer to its ASX-listed peer group and create a share price it considers more appealing to a wider range of investors, particularly institutional investors. Those are stated objectives, not a guarantee of greater liquidity, institutional participation or a higher valuation.

Proposed raisings could more than double the final share count

The headline 45.552 million figure is not a complete picture of the capital structure Enova may have after the consolidation. It excludes securities linked to the proposed Caraúbas Monazite Project acquisition, the Entitlement Offer and the second tranche of the placement.

Enova’s earlier entitlement offer targeted up to A$495,152, while its expanded $2 million placement included securities requiring shareholder approval. If the entitlement offer is fully subscribed and the acquisition and Tranche 2 placement issues receive approval, Enova says the post-consolidation share count would instead be approximately 95.515 million.

Options and fractional holdings will be adjusted

Options on issue would be consolidated on the same 50-for-1 basis, with their exercise prices adjusted in the inverse proportion in accordance with the ASX Listing Rules. Fractional entitlements to shares or options would be rounded down to the nearest whole security.

Enova says the consolidation is not expected to materially change the aggregate value of an individual security holder’s holding, or the company’s market capitalisation, assuming no other market movements or impacts. That reflects the mechanical nature of the transaction: fewer securities, with the market price expected to adjust correspondingly, although actual trading outcomes remain subject to market conditions.

Trading reset is scheduled for late November

Subject to approval, the proposed effective date is 23 November 2026, with the last day of pre-consolidation trading set for 24 November. Post-consolidation trading on a deferred-settlement basis is proposed to begin on 25 November, followed by a record date of 26 November. The board has reserved the right to vary the timetable in line with the ASX Listing Rules and applicable law.

The immediate question is therefore less about the arithmetic of the consolidation than the capital base it will sit on. Enova’s final share count will depend on the outcome of the shareholder vote, the entitlement offer, the proposed Brazilian acquisition securities and the remaining placement approvals, leaving a meaningful gap between the simple 50-for-1 calculation and the eventual register.

Bottom Line?

The consolidation changes the unit size, not the underlying value by itself; the more consequential figure will be Enova’s final post-transaction share count after the proposed funding and acquisition securities are resolved.

Questions in the middle?

  • Will shareholders approve the consolidation alongside the proposed acquisition and remaining placement securities?
  • Will the final register be closer to 45.552 million shares or the potential 95.515 million figure?
  • Will the higher nominal share price translate into the broader investor participation Enova is seeking?
