A$45 million payment moves closer to settlement

Matsa Resources Limited (ASX:MAT) has cleared the last stated conditions for AngloGold Ashanti’s acquisition of five tenements at the Lake Carey Gold Project near Laverton in Western Australia. Settlement is expected within 15 business days, when Matsa expects to receive the remaining A$45 million of the agreed consideration.

The transaction follows early option exercise by AngloGold Ashanti, which was announced in September. Matsa’s latest announcement does not identify the individual conditions that have been satisfied, but it says the parties can now proceed towards settlement.

Deposit received, final cash still outstanding

Matsa has already received a A$10 million deposit from AngloGold Ashanti on 25 September. The remaining A$45 million would take total consideration for the five tenements to A$55 million if settlement completes as expected.

The deposit had previously been reported while the balance remained dependent on outstanding third-party approvals. With those conditions now described as met, the transaction has moved from an approvals process to a short wait for completion and payment. The company says it will make a further ASX announcement once the final amount has been received.

Use of proceeds remains the next question

The announcement does not state how Matsa intends to use the expected proceeds, nor does it provide an exact settlement date. That leaves the next material milestone clear: confirmation that the A$45 million has arrived and the tenement transfer has settled.

For shareholders, the distinction matters. Conditions being finalised reduces the remaining transaction uncertainty, but the final payment is still prospective until settlement occurs. The company’s subsequent disclosure will also show whether the cash changes its financial position or supports a new phase for the assets Matsa retains.

Bottom Line?

The conditions hurdle is cleared, but Matsa still needs to convert the expected A$45 million into cash and explain how the proceeds will be deployed.

Questions in the middle?

  • When exactly will settlement complete and the A$45 million payment be received?
  • How will Matsa allocate the combined A$55 million consideration?
  • What assets and projects will remain central to Matsa after the five Lake Carey tenements transfer?
