Scheme booklet dispatch moves merger to shareholder vote
Vault Minerals Limited (ASX:VAU) has completed dispatch of the scheme booklet for Genesis Minerals’ proposed acquisition of all Vault shares, taking the transaction from court-approved preparation into the shareholder decision phase. Vault shareholders are scheduled to vote on the scheme at 9:30am AWST on 11 November 2026 in Perth.
The dispatch follows the [invalid]Supreme Court meeting approval, which cleared the way for the vote. Shareholders have now been sent the material needed to assess the transaction, vote by proxy or attend the meeting, and elect the form of scheme consideration they wish to receive if the deal proceeds.
Independent expert and board continue to support Genesis deal
BDO Corporate Finance Australia, acting as independent expert, concluded that the scheme is in the best interests of Vault shareholders in the absence of a superior offer. That conclusion is qualified: it must be read alongside the full expert report and remains relevant only while no better proposal emerges.
Vault’s board continues to unanimously recommend that shareholders vote in favour of the scheme, subject to the same conditions and to the expert maintaining its conclusion. Each director also intends to vote, or arrange for the voting of, shares in which they have a relevant interest in favour of the transaction.
The booklet dispatch completes another step in a process that had already passed the [invalid]scheme booklet registration hurdle, with the earlier filing reporting that BDO had supported the deal on the stated assumptions. The current announcement does not disclose the transaction consideration, detailed conditions precedent or any voting commitments beyond the directors’ stated intentions.
Second court hearing remains the next legal gate
Shareholder approval would not complete the merger on its own. If the required majorities approve the scheme and the remaining conditions are satisfied or waived, Vault will return to the Supreme Court of Western Australia to seek orders approving the transaction. Until then, the vote and the subsequent court process remain material gates to implementation.
Bottom Line?
The merger has reached its clearest test yet, but shareholder approval and a second court hearing still stand between booklet dispatch and completion.
Questions in the middle?
- Will Vault shareholders deliver the required approval at the 11 November scheme meeting?
- Could a superior proposal emerge before the vote or before the independent expert’s conclusion is revisited?
- What conditions will remain outstanding if shareholders and the court approve the scheme?
