ASX probes Cleanaway share-price fall

Cleanaway Waste Management Limited (ASX:CWY) has denied that undisclosed news is driving its recent trading, after ASX queried a fall from a close of $2.63 on 15 October to an intraday low of $2.43 on 16 October. That represented a decline of about 7.6% from the previous close at the low point.

In its response, Cleanaway said it was not aware of any information concerning the company that had not been announced to the market. It also said it was unaware of any other explanation for the recent trading in its securities, leaving the price movement unexplained in the correspondence released to investors.

EQT proposal remains the key unresolved thread

The company said there had been no further update to EQT’s proposal to acquire all Cleanaway shares through a scheme of arrangement since its 12 October update. The response follows EQT exclusivity extension, when the takeover process remained non-binding and due diligence and implementation deed negotiations were continuing.

Cleanaway has now committed to provide a further update on the proposal before trading begins on 19 October. The filing does not disclose whether that update will concern a binding implementation deed, revised terms, a change in the timetable or another stage of negotiations.

Company confirms continuous disclosure compliance

Cleanaway confirmed it was complying with the ASX Listing Rules, including the continuous disclosure obligation under Listing Rule 3.1. Its response was approved by the company’s chair, adding formal board-level authorisation to the statement that no undisclosed information explained the trading.

The immediate question is therefore less about the price query itself than what Cleanaway says before Monday’s open. Until that update arrives, the takeover remains the identifiable market issue in the filing, but its terms, timing and prospects are not advanced by this response.

Bottom Line?

The promised update before 19 October trading could provide the next material signal on whether EQT’s non-binding proposal is moving towards a binding transaction.

Questions in the middle?

  • Will Cleanaway and EQT announce a binding implementation deed or another extension to negotiations?
  • Will the 19 October update change the proposal’s terms, timetable or conditions?
  • What explains the share-price fall if the company is unaware of any undisclosed information?
