Distribution guidance rises as Edge portfolio stabilises
Arena REIT (ASX:ARF) has raised its FY2027 distribution guidance to 19.0-20.2 cents per security, a meaningful reset from its previous guidance of not less than 18.0 cents. The increase, equivalent to 5.6% to 12.2%, reflects progress in managing the fallout from Edge Early Learning’s administration across Arena’s childcare property portfolio.
The lower end of the new range assumes Arena receives rent on 27 properties from 1 September to 31 October 2026, alongside the execution of business sale agreements with replacement operators and leases with new tenants at three former Edge-occupied properties. It also includes the application of an approximately $4 million bank guarantee available as security over the Edge leases.
The company’s latest update follows Edge sale agreements, which covered further proposed operator changes across 22 centre businesses. Arena now says it is assuming no income after 31 October from properties where administrators have yet to complete business sale agreements, and has assumed no new acquisitions or material change in current market and operating conditions.
Goodstart transaction remains the key upside assumption
The top of the guidance range depends on the balance of announced transactions proceeding, including the proposed Goodstart Early Learning acquisition of 20 Edge businesses operating from Arena-owned centres. That transaction was previously described as conditional and remains subject to confirmatory due diligence and final documentation, as well as the transfer of service approvals and assignment of leases.
Arena is continuing its own due diligence before deciding whether to consent to the assignment of Edge leases. The proposed Goodstart acquisition therefore offers a route to greater certainty over a substantial portion of the affected portfolio, but it is not yet a completed transaction. The filing makes clear that all relevant transfers remain exposed to approval, documentation and lease-assignment conditions.
Separately, Arena completed three property divestments in the first quarter of FY2027 for a combined $16.6 million. The operating early learning centre properties sold at a weighted average passing yield of 5.1%, with the total transaction value representing a 10.9% premium to book value. Arena says it has a fully funded development pipeline and will assess how to use further recycling proceeds in light of the Edge outcome, its balance sheet, cost of capital and capital management program.
Bottom Line?
The guidance upgrade improves the distribution outlook, but the upper range still hinges on completing Edge operator transfers and securing Arena’s consent to key lease assignments.
Questions in the middle?
- Will the proposed Goodstart transaction complete after due diligence, documentation and service approval transfers?
- How much recurring rental income will remain from Edge properties where replacement operators are still unresolved?
- Will Arena direct future asset recycling proceeds towards development, balance sheet flexibility or other capital management priorities?
