Orion Minerals has made Glencore’s US$40 million Tranche A financing unconditional, clearing the way for development of the Uppers Mine at its Prieska copper-zinc project in South Africa. The larger US$210 million package for the Deeps remains conditional, leaving the project’s full build-out dependent on further funding.
- US$40 million Glencore Tranche A financing is now unconditional

- Uppers Mine first production targeted by the end of 2027

Glencore Funding Clears Uppers Mine for Construction
Orion Minerals Limited (ASX/JSE: ORN) has crossed a financing threshold that turns its Prieska Copper Zinc Mine from a funded proposal into an executable construction project, at least for the Uppers Mine. Glencore’s US$40 million Tranche A financing is now unconditional after Orion completed the final concentrate offtake and intercreditor agreements and satisfied the remaining conditions precedent.
The first drawdown is expected by the end of October, with the funds intended to support site mobilisation, development contracts and construction activities. Orion is targeting first production from Uppers by the end of 2027, although that remains a company target rather than a guaranteed delivery date. The milestone follows an earlier period in which the funding package remained subject to conditions, including the September funding warning that highlighted the company’s dependence on further financing.
Contractors and Concentrator Prepare for Site Work
Orion says development preparations are already well advanced. Torque Africa has been selected as the drilling contractor for work supporting geotechnical investigations and final mine-design definition, while ENPROTEC has been chosen to deliver the Uppers concentrator under a Build-Own-Operate-Transfer arrangement.
The concentrator is designed for throughput of 20,000 tonnes per month. The Tranche A funding is expected to allow Orion to execute those contracts and begin construction of the accommodation village, alongside the mobilisation of crews and equipment to site. The company’s transition from planning to construction also follows the IDC loan conversion, which gave the South African Industrial Development Corporation a 23.8% stake in the Prieska subsidiary and released secured lending constraints.
Offtake Ties Glencore Repayment to Mine Production
The funding is structured as a prepayment facility rather than a conventional cash loan described in isolation. Glencore’s return is market-related, capitalised until roughly 18 months after Uppers first production, and settled through the delivery of copper and zinc concentrates. Orion says PCZM can settle the facility at any time without penalty, while the financing has first-ranking security pari passu with Triple Flag Precious Metals.
Glencore will receive 100% of Uppers’ bulk concentrates for five years, subject to total production, and 100% of the Deeps’ copper and zinc concentrates for a minimum of 10 years. The offtake terms include market benchmark treatment and refining charges, global delivery flexibility and an option for advance sales and payments against stockpiled concentrates. The arrangement provides a defined marketing route for production, but also ties a substantial share of future concentrate output to the financing relationship.
Deeps Expansion Still Needs US$210 Million
The more substantial funding question has not been settled. Tranche B, worth US$210 million, remains conditional on the Deeps being fully funded and Glencore securing additional third-party funding to support its prepayments. Up to US$50 million may be drawn early for Deeps works, but only if the relevant conditions are met.
That leaves Orion with a clear near-term path for Uppers and a separate financing task for the deeper mine. The next practical test is whether the expected Tranche A drawdown arrives on schedule and translates into contracts, mobilisation and construction on site; the larger test is whether funding partners can close the gap required to move Deeps beyond a conditional development plan.
Bottom Line?
Uppers now has an unconditional US$40 million funding line, but Orion’s full Prieska development story still depends on securing the conditional US$210 million Deeps package.
Questions in the middle?
- Will the first Tranche A drawdown be completed by the end of October as expected?
- How quickly will site mobilisation and the Uppers concentrator contract translate into physical construction progress?
- Can Orion and Glencore secure the additional funding needed to make Tranche B for the Deeps unconditional?
