- $755,000 in preliminary SPP applications against a $600,000 target
- Oversubscription to be accepted by the board
- Final issue price and SPP results due on 21 October
- Funds earmarked for hydrogen and LCO2 tank development
- Attaching options remain subject to prospectus and shareholder approval
Shareholder Demand Exceeds Provaris’ SPP Target
Provaris Energy Ltd (ASX:PV1) has received preliminary applications worth $755,000 under its share purchase plan, beating the company’s $600,000 target by $155,000. The board has elected to accept the oversubscription, giving the capital raising a modest but clear vote of support from eligible shareholders.
The figure remains preliminary. Provaris will announce the final amount, issue price and allocation on Wednesday, 21 October, meaning the precise number of new shares and the eventual capital impact are not yet known. Shares are expected to be issued that day and begin normal trading from 22 October.
Discounted Shares Will Fund Hydrogen and LCO2 Programs
Shares issued under the SPP will be priced at a 20% discount to the relevant five-day volume-weighted average market price calculated through the closing date. The discount may help explain the strong take-up, although the filing does not quantify how many shareholders participated or how the applications were distributed.
Provaris said the funds, combined with existing cash, will support its hydrogen prototype tank, classification approvals and commercial readiness. Capital is also earmarked for engineering, approvals and commercialisation of its liquid carbon dioxide tank with Yinson Production AS, alongside business development and general working capital.
The funding arrives as the company continues to push both technology programs toward commercial milestones. Its hydrogen tank manufacturing partnership had previously targeted a transition from prototype production to commercial scale, while its LCO2 program has been progressing through engineering and maritime approval work.
Attaching Options Create a Second Shareholder Decision
SPP participants are also entitled to one free unlisted option for every three new shares subscribed. Those options are proposed to carry a $0.013 exercise price and expire three years after issue, but they cannot yet be treated as locked-in value: Provaris must issue a prospectus and seek shareholder approval at its annual general meeting on 27 November.
The immediate catalyst is therefore the 21 October announcement, which should clarify how much additional capital the company will receive and how many shares are being issued. The later AGM vote will determine whether the attaching-option component proceeds, adding another step to a capital raising that has already exceeded its original size.
Bottom Line?
The oversubscribed SPP improves Provaris’ near-term funding position, but the final share count, issue price and option approval will determine the raising’s full impact.
Questions in the middle?
- What will the final issue price and number of new shares be after the oversubscription is accepted?
- How long will the additional funding support Provaris’ hydrogen and LCO2 development programs?
- Will shareholders approve the proposed attaching options at the 27 November AGM?
