RAS Technology shareholders receive a rich offer from The Press Association

RAS Technology has agreed to a $49.8 million all-cash takeover by The Press Association, giving shareholders a 93% premium to the last traded price. The deal has board and founder support, but still requires an independent expert’s endorsement, shareholder approval and Federal Court sanction.

  • $1.04 cash offer represents a 93% premium to RAS’s $0.54 closing price
  • Offer implies approximately $49.8 million equity value and $45.6 million enterprise value
  • RAS board unanimously recommends the scheme, subject to an Independent Expert’s support
  • Founders Gary Crispe and Robert Vilkaitis control or hold about 34% of shares and intend to vote in favour
  • Implementation is expected in February 2027, subject to shareholder and Court approval

The Press Association puts $49.8 million value on RAS

RAS Technology Holdings Limited (ASX:RTH) has agreed to be acquired by UK-based The Press Association Limited for $1.04 cash per share, in a transaction that values the Australian racing-data company’s equity at approximately $49.8 million. The offer represents a 93% premium to RAS’s $0.54 closing price on 16 October and an 80% premium to its 90-trading-day VWAP of $0.576.

The proposed scheme implies an enterprise value of about $45.6 million, based on RAS’s $4.2 million of cash and no borrowings as at 30 June 2026, excluding lease liabilities. The consideration may be reduced by the cash amount of any permitted dividend, special dividend or return of capital declared before the scheme becomes effective.

Board and founders line up behind the scheme

RAS’s board has unanimously recommended that shareholders vote in favour of the transaction, subject to there being no superior proposal and an Independent Expert concluding that the scheme is in shareholders’ best interests. Each director also intends to vote in favour on the same terms.

The proposal already has meaningful shareholder backing. Co-founders Gary Crispe and Robert Vilkaitis together hold or control approximately 34% of RAS’s shares and have confirmed their intention to vote in favour, subject to the same qualifications. That support would give the transaction a substantial base of committed votes, although it does not remove the formal shareholder and Court approval requirements.

Racing data businesses seek wider global reach

The PA, through its Podium business, supplies racing and sports data, content and products to bookmakers, broadcasters and other industry participants. It said RAS would add racing data, wagering technology, media and digital capabilities to its existing racing and betting-data operations.

The strategic logic is presented as complementary rather than transformational: The PA says the combined businesses would offer customers a wider range of data, deeper wagering expertise and coverage across more markets. RAS has recently reported strong operating growth, including a 34% increase in FY2026 revenue to $28.4 million, but also disclosed a normalized net loss after tax of $0.3 million as it invested in product development and trading capabilities.

Independent Expert and shareholder vote remain decisive

The scheme is not subject to due diligence, financing, FIRB or ACCC conditions. The PA expects to fund the consideration with existing cash resources and committed debt financing, while PA Media Group will guarantee the bidder’s obligations. The deal nevertheless remains conditional on the Independent Expert’s report, the required shareholder vote, Federal Court approval, the absence of specified adverse events and the treatment of RAS options and performance rights.

RAS expects to lodge the Scheme Booklet with ASIC in November, hold the scheme meeting in January 2027 and implement the transaction in February. If completed, RAS shares would be transferred to The PA and the company would ultimately be removed from the ASX official list. The Scheme Implementation Deed also includes exclusivity arrangements and a break fee of approximately $0.5 million in specified circumstances, including a competing transaction that proceeds after the agreement is terminated.

Bottom Line?

The headline premium is clear, but the value on offer will not become cash until the Independent Expert, shareholders and the Federal Court clear the remaining hurdles.

Questions in the middle?

  • Will the Independent Expert endorse the $1.04 consideration as being in shareholders’ best interests?
  • Could another bidder emerge despite The PA’s exclusivity and matching rights?
  • Will options, performance rights and any permitted distribution alter the final amount received per share?
