MBM moves proposed graphite spin-out toward an IPO

The proposed spin-out of LE Minerals’ Queensland graphite assets has reached a more tangible milestone, with M Battery Materials Limited lodging a prospectus for an initial public offering and planned ASX listing. The IPO is seeking between $15 million and $25 million through the issue of 30 million to 50 million shares at $0.50 each.

MBM plans to combine LE Minerals’ Burke, Mt Dromedary and Corella Graphite Projects with its own Yambungan Graphite Project and Queensland vanadium projects. Yambungan sits about 8km from the Burke and Mt Dromedary projects, according to the announcement.

$20 million asset sale still depends on shareholder approval

The IPO is intended to support a proposed transaction under which MBM would acquire LE Minerals’ three graphite projects for $20 million in cash and scrip. The deal now has a defined fundraising framework, but it is not yet complete: LE Minerals must convene a general meeting to seek shareholder approval required under the ASX Listing Rules.

The filing advances the same transaction covered in the amended graphite sale, which followed ASX advice on escrow and classified-asset rules. The announcement does not state the final ownership split between the parties, the value of the scrip component or the timetable for the IPO.

ASX admission and funding remain the next tests

MBM is positioning itself as a specialist battery-materials company focused on minerals and materials linked to the global energy transition. That positioning will now be tested through the subscription process, the eventual outcome of the capital raising and MBM’s application for admission to the ASX Official List.

For LE Minerals shareholders, the immediate question is whether the IPO proceeds and listing process are sufficient to carry the proposed asset sale through to completion. Until MBM secures subscriptions, receives ASX admission and LE Minerals shareholders vote, the $20 million transaction remains a proposed exchange rather than realised value.

Bottom Line?

The prospectus removes one layer of uncertainty, but value realisation still hinges on IPO subscriptions, ASX admission and LE Minerals shareholder approval.

Questions in the middle?

  • Will MBM raise closer to the $15 million minimum or the $25 million maximum?
  • What ownership and valuation will LE Minerals receive through the scrip component?
  • When will LE Minerals shareholders vote on the proposed graphite asset sale?
