Funding Negotiations Remain Unresolved
Findi Limited (ASX:FND) remains suspended from trading with no funding or restructuring solution in hand, leaving the payments company facing a short cash runway and an open-ended strategic review. The board says it has considered alternative financing and restructuring options but has not yet found terms acceptable to the relevant parties.
The negotiations cover a range of potential solutions and remain active, according to Findi. The company provides no transaction terms, funding amount or timetable, and expressly warns that the discussions may not result in a successful financing or restructuring outcome. That uncertainty sits at the centre of the company’s immediate prospects.
Indian Operations Drive the Review
The board’s review has focused particularly on the financial position and funding requirements of Findi’s Indian operations. It followed the appointment of three new non-executive directors during 2026 and Stephen Benton as chairman on 5 June, after which the board reviewed the group’s operations, financial position and capital structure.
Findi placed its securities into suspension on 22 June after receiving an independent financial review and a draft audit report. The June trading suspension had previously been reported as delaying the FY2026 accounts beyond their 30 June deadline. The securities remain suspended on the ASX while the board works through the funding and restructuring questions.
Audit Timing and Reinstatement Remain Unclear
Findi’s audited financial statements for the year ended 31 March 2026 are still unfinished, as is the Annual Report. The company says the outcome of the funding discussions remains relevant to the basis on which those financial statements are prepared and to completion of the audit.
The board now says it cannot confirm a definitive lodgement date. It acknowledges the uncertainty created by the prolonged suspension and reporting delay, but offers no timetable for either completing the accounts or seeking a return to quotation. The next material disclosure is therefore likely to hinge on whether negotiations produce a workable funding or restructuring arrangement before the cash runway tightens further.
Bottom Line?
The immediate test is whether Findi can convert ongoing negotiations into a financeable restructuring before the audit and reinstatement process can move forward.
Questions in the middle?
- How much cash remains, and how long can the Indian operations continue under the current runway?
- Will any funding or restructuring proposal require material dilution, asset changes or other concessions?
- What basis of preparation will the auditors accept once the board resolves the funding question?
