Genetic Signatures wins a larger stake in revised Microba merger
Genetic Signatures and Microba Life Sciences have agreed in principle to revise their proposed merger, reducing Microba shareholders’ post-deal ownership from about 67% to 60%. The change improves the position of existing GSS shareholders, but the transaction remains non-binding and subject to multiple approvals.
- Microba shareholders would receive 60% of enlarged GSS, down from approximately 67%
- Existing GSS shareholders would hold 40%, up from approximately 33%
- Microba’s same-day placement is expected not to dilute GSS shareholders under the revised formula
- Binding scheme documentation has not yet been signed
- GSS shareholders vote on the transaction at the 16 November AGM

Merger ownership split shifts towards GSS shareholders
Genetic Signatures Limited (ASX:GSS) has secured an in-principle change to the proposed Microba Life Sciences (ASX:MAP) merger that materially alters who will control the enlarged company. Microba shareholders would now hold 60% of GSS after implementation, down from approximately 67%, while existing GSS shareholders would hold 40%, up from approximately 33%.
The revised split is a more favourable outcome for GSS holders than the terms announced in the original Microba merger terms, which contemplated Microba shareholders owning about two-thirds of the combined group. GSS said all other material terms, including the transaction’s strategic rationale, remain unchanged.
Scheme formula protects GSS from Microba placement dilution
The final number of GSS shares and options issued to Microba holders will depend on the securities outstanding at the scheme record date. Under the revised formula, the ownership percentages are built into the calculation rather than fixed through a stated number of new shares.
That mechanism also means the placement announced by Microba earlier on 21 October is not expected to dilute GSS shareholders, according to the announcement. The effect is subject to the scheme formula and the securities on issue when the transaction reaches its record date.
Binding merger documents and approvals remain outstanding
The parties have not yet entered into binding documentation, and the revised terms remain subject to ongoing due diligence. The changes are expected to be recorded in a scheme implementation deed, with the material terms to be summarised in an addendum to GSS’s annual general meeting notice once it has cleared ASX review.
GSS’s board continues to unanimously recommend that shareholders approve the securities issue at the company’s 16 November AGM. Even if that vote succeeds, the merger still requires approval from Microba shareholders and option holders, Court approval and satisfaction of other conditions. The transaction therefore has a better ownership profile for GSS investors, but it is not yet a completed deal.
Bottom Line?
The revised ratio improves GSS shareholders’ proposed position, but the next hard test is whether the parties convert the in-principle agreement into binding scheme documents before the approval process begins.
Questions in the middle?
- When will GSS and Microba execute the binding scheme implementation deed?
- Will the ASX-approved AGM addendum reveal any changes beyond the revised ownership split?
- Can the proposed merger secure GSS, Microba and Court approvals on the revised terms?
