461.1 million options could provide Minbos with A$18.44 million

Minbos Resources has lodged a prospectus for 461.1 million listed options linked to its A$6 million placement, without raising fresh cash through the offer itself. The options could provide A$18.44 million if fully exercised, but the filing also flags going-concern uncertainty and further funding needs for the Cabinda phosphate project.

  • 461.1 million MNBOD Options to be issued for nil cash consideration
  • Options exercisable at A$0.04 until 16 March 2029
  • Potential A$18.44 million proceeds if all options are exercised
  • Total options on issue would rise to 705.4 million
  • Prospectus highlights funding, construction and Angola-related risks

461 million options tied to A$6 million placement

Minbos Resources Limited (ASX:MNB) has lodged an options prospectus for up to 461,111,111 MNBOD Options, issued for nil cash consideration to participants in its recently enlarged placement, participating directors, lead manager Alpine Capital and investor relations adviser S3 Consortium. The offer itself raises no money, but it creates a substantial pool of securities that can later convert into shares.

The options are exercisable at A$0.04 each until 16 March 2029. If every option is exercised, Minbos would receive approximately A$18.44 million before costs. Subject to ASX quotation, the options and any shares issued on exercise are intended to be tradeable without further disclosure restrictions. The offer is restricted to the identified recipients rather than being a public cash raising.

The prospectus follows the A$6 million share placement, which was increased from A$4 million in August. That placement issued 400 million shares at A$0.015 each and carried one free-attaching MNBOD Option for every placement share. The remaining options comprise 44.44 million issued to Alpine Capital for lead-management services and 16.67 million to S3 Consortium for investor-relations services.

Potential dilution and option timetable

Minbos currently has 1.562 billion shares and 244.26 million options on issue. The prospectus would lift total options to 705.37 million, while the share count would remain unchanged at issue because the offer does not issue shares. Full exercise would add 461.11 million shares, taking the theoretical total to about 2.023 billion, before accounting for any other capital movements.

The indicative timetable puts option issue on 23 October 2026 and expected ASX quotation on 26 October, although quotation remains subject to exchange approval. The current MNBOD Options last closed at A$0.005 on 1 October, against an A$0.04 exercise price. That gap does not determine future value, but it is a useful reminder that the potential A$18.44 million is contingent on holders choosing to exercise and the options retaining sufficient value before expiry.

Cabinda project still depends on funding and execution

The filing places the securities issue against a project that is moving into construction but is not yet generating revenue. Minbos says its Cabinda phosphate fertiliser plant will not produce revenue until construction and commissioning are complete, and repeats a material-uncertainty warning about the Group’s ability to continue as a going concern. Its pro-forma cash balance was A$5.27 million at 30 September, after the placement proceeds, placement costs and ordinary-course expenditure, but before the estimated A$38,706 cost of this offer.

The company says the remaining undrawn balance of its Industrial Development Corporation facility and the proposed Banco de Fomento Angola facility totals US$16.2 million, intended for completion of the Cabinda plant. It also says additional capital or debt may be required, while acknowledging there is no guarantee that funding will be secured on acceptable terms. The project has also been subject to administrative issues around the Angolan mining licence and subsidiary governance, alongside the need for future environmental operating licences.

That combination makes the options more than a routine paperwork exercise: they add a possible future funding source, but also expand the securities structure before the project has reached production. The next meaningful tests are whether ASX grants quotation, how many options are ultimately exercised, and whether financing, construction and licensing milestones progress quickly enough to reduce the funding gap identified in the prospectus.

Bottom Line?

The offer creates potential future funding of A$18.44 million, but Minbos still has to convert construction progress, financing and Angolan approvals into a producing project before that option pool becomes strategically useful.

Questions in the middle?

  • Will ASX approve quotation of all 461.1 million MNBOD Options on the proposed timetable?
  • How much of the option pool will ultimately be exercised before 16 March 2029?
  • Can Minbos secure the remaining project funding and complete Cabinda construction without further capital pressure?
