SPP closes with $914,500 raised
Provaris Energy Ltd (ASX:PV1) has turned a preliminary oversubscription into a larger-than-target capital raising, finalising its Share Purchase Plan at $914,500 after delayed electronic funds transfers from eligible shareholders were received. The final figure is 50% above the original $600,000 target, and the board has elected to accept the full amount.
The result confirms and expands on the company’s earlier indication that demand had exceeded the SPP target. Preliminary applications of $755,000 were reported in the earlier SPP applications, with the final amount initially pending the clearance of outstanding funds.
228.625 million shares enter the register
Provaris will issue 228,625,000 new shares at $0.004 each on 21 October, with normal ASX trading scheduled to begin from market open on 22 October. The announcement does not state the company’s post-issue share count, so the resulting percentage dilution for existing shareholders cannot be calculated from the filing alone.
Managing director and chief executive Martin Carolan said the 50% oversubscription was “a strong endorsement from our shareholders towards this funding strategy”. The company said the proceeds, combined with existing funds, will support its hydrogen prototype tank, classification approvals, commercial readiness and business development, alongside its LCO₂ tank engineering and commercialisation work with Yinson Production AS and general working capital.
Attaching options remain subject to approval
Participants are also due to receive one free unlisted attaching option for every three SPP shares subscribed, subject to shareholder approval. The proposed 76,208,385 options would carry a $0.013 exercise price and expire three years after issue, but they have not yet been issued.
That approval is scheduled to be sought at Provaris’ annual general meeting on 27 November 2026. The proposed options add a potential future source of equity funding if exercised, but also leave the capital structure subject to another shareholder decision and a prospectus process still to come.
Bottom Line?
The immediate funding target has been exceeded, but the more consequential test is whether the additional capital can carry Provaris’ hydrogen and LCO₂ programs through their next technical and commercial milestones.
Questions in the middle?
- How much of the enlarged funding pool will be allocated to the hydrogen prototype tank versus the LCO₂ program?
- What post-issue share count and dilution will existing shareholders face once the new shares are issued?
- Will shareholders approve the 76.2 million attaching options at the 27 November annual meeting?
