Felix completes SPP as AI funding plan moves to shareholder vote

Software By Victor Sage 2 min read

Felix Group has completed its shareholder purchase plan, raising A$0.1 million at A$0.038 a share and issuing 2.82 million new shares. The broader equity raising could reach A$5.65 million, but its final size still depends on shareholder approval of the institutional placement’s second tranche.

  • A$0.1 million raised through the SPP at A$0.038 per share
  • 2,815,783 new shares to be issued on 22 October
  • All valid SPP applications accepted in full
  • Total equity raising could reach A$5.65 million if Tranche 2 is approved
  • Funds earmarked for AI, platform development, vendor activation and working capital

SPP Raises A$0.1 Million at Placement Price

Felix Group Holdings Ltd (ASX:FLX) has completed the smaller shareholder-funded leg of its capital raising, collecting A$0.1 million through a share purchase plan at A$0.038 per share. The company will issue 2,815,783 new shares on 22 October, with trading scheduled to begin the following day.

Every valid application was accepted in full. The result closes the offer that gave eligible shareholders access to the same price as the institutional investors in the A$5.54 million institutional placement, which was launched to fund Felix’s next phase of product and platform development.

Tranche 2 Still Requires Shareholder Approval

The headline figure remains conditional. Felix says gross proceeds from the Placement and SPP would total A$5.65 million if shareholders approve the second tranche of the institutional placement. That vote is scheduled for 9 November, with the company currently indicating that the Tranche 2 shares would be issued and begin trading on 16 November.

The company’s timetable contains a minor date inconsistency: the announcement says the SPP closed on 15 October, while its indicative timetable lists 16 October. Felix describes all dates as indicative and subject to change.

Capital Assigned to AI and Vendor Network

Felix plans to direct the capital towards AI product development, activation of its vendor network, platform development and working capital, alongside the costs of the equity raising. The SPP was capped at A$30,000 per eligible shareholder and had been presented as a way to extend participation beyond the institutions that backed the September equity raising.

For investors, the more consequential milestone is now the November meeting rather than the modest SPP top-up. Until Tranche 2 receives approval, Felix has secured the SPP proceeds and the first part of the placement, but not the full A$5.65 million deployment envelope it has disclosed.

Bottom Line?

The SPP is complete, but Felix’s intended funding pool remains partly conditional on the 9 November shareholder vote and the delivery of its AI and vendor-network plans.

Questions in the middle?

  • Will shareholders approve the second placement tranche needed to lift total proceeds to A$5.65 million?
  • How quickly will Felix convert the new funding into AI products and a more active vendor network?
  • What operating milestones will demonstrate that the capital is improving the platform’s commercial traction?
