A$500,000 shareholder offer targets exploration funding
Vita Resources NL (ASX:VTA) is asking existing Australian and New Zealand shareholders to help fund its next round of gold exploration, launching a share purchase plan targeting up to A$500,000 at A$0.021 per share. The offer price is 4.5% below both the 22 October closing price and the five-day volume-weighted average price of A$0.022.
The offer is non-underwritten, so the headline amount is a target rather than a guaranteed injection of cash. At the stated cap, Vita would issue approximately 23.81 million new shares before costs, although the board can accept applications above A$500,000, scale applications back or place any shortfall, subject to the ASX Listing Rules and applicable law.
Ninnis remains the principal funding destination
The company says the proceeds will be applied principally to exploration at the Ninnis Gold Project in Western Australia, alongside the pursuit of gold opportunities in Australia and New Zealand. That makes the offer a further funding step for a project where expanded Ninnis drilling had previously followed encouraging initial auger results and identified additional targets.
The funds may also support Vita’s New Zealand ambitions. The company earlier secured New Zealand exploration rights through an Otago Gold partnership, giving it exclusive rights to explore hard-rock deposits below 10 metres across selected Southland and Otago tenements. The SPP announcement does not specify how the proceeds will be divided between Ninnis, new opportunities, working capital and offer costs.
Discounted price comes with subscription and dilution uncertainty
Eligible shareholders recorded at 5:00pm WST on 22 October can apply for between A$1,000 and A$30,000, with no brokerage or transaction costs charged by Vita. The maximum application would buy 1,428,572 shares at the offer price, subject to the terms of the SPP and any scale-back.
The offer will open on 26 October and is scheduled to close at 5:00pm AEDT on 6 November, with results and allotment expected on 12 November and trading expected to begin on 13 November. The timetable can change, and the final effect on existing shareholders will depend on how much is subscribed and how many shares are ultimately issued. The company is using the SPP exception under ASX Listing Rule 7.2, meaning the issue will not draw on its existing placement capacity.
Bottom Line?
The key test is not the 4.5% discount but whether shareholders provide enough cash to turn Vita’s Ninnis and wider gold plans into funded exploration work.
Questions in the middle?
- How much of the A$500,000 target will shareholders subscribe for without underwriting support?
- Will the board accept oversubscriptions, and what final share count will result?
- What specific exploration milestones will the new funds deliver at Ninnis and across the company’s gold pipeline?
