Venari formalises option package tied to $6.1 million raising

Venari Minerals NL (ASX:VMS) is not raising fresh cash with its latest prospectus. Instead, the company is seeking to issue up to 8,139,303 free options to investors who participated in its recent placement, subscribers to its convertible notes and consultants involved in the capital raising.

The options are the additional securities promised alongside the company’s $4.75 million share placement, $1.35 million convertible note issue and associated fundraising services. That makes the prospectus a formal step in the earlier financing process rather than a new equity offer. The placement included the September placement tranche, which raised $2.98 million before costs.

Options could add $976,716 if fully exercised

Each New Option converts into one Venari share at $0.12 and expires at 5pm on 6 August 2028. If every option is exercised, the company would receive approximately $976,716 in exercise proceeds, although the prospectus gives no indication of how many will ultimately be taken up.

The options will form part of Venari’s existing quoted VMSOA class, subject to ASX approval. They are expected to be quoted on 2 November, excluding the director allocation. The issue itself requires no subscription payment, and the company says any future exercise proceeds are expected to support business operations and working capital at the time they are received.

Director allocation now hinges on November AGM

The most notable procedural complication concerns 326,250 options intended for directors Anthony Leibowitz, Vincent Fayad and Matthew Healy, or their nominees. Shareholders had previously approved the issue, but that approval lapsed because the options were not issued within the required one-month period after the September general meeting.

Venari plans to seek fresh approval at its annual general meeting on 23 November. The company expects to release an addendum to the AGM notice by 12 November, and the director options will not be issued if the resolutions fail. Their expected quotation is 24 November, subject to that approval.

Potential dilution sits behind the nil-cost issue

Assuming all 8.14 million options are issued, Venari’s options on issue would rise from 13.22 million to 21.36 million, while shares on issue would remain unchanged at 168.09 million until options are exercised. Any subsequent conversion would increase the share count and could dilute existing holders, although the timing and scale of that dilution remain uncertain.

The prospectus also labels the securities highly speculative and says Venari cannot reliably forecast future earnings. Its risk disclosures point to the usual exploration-company uncertainties, including the need for further capital, permitting and environmental obligations, and the absence of a current operating mine capable of processing the Red Mountain project’s lithium clay rock.

Bottom Line?

The immediate event is procedural, but the November AGM will determine whether the director portion proceeds and future exercises could reshape Venari’s capital structure.

Questions in the middle?

  • Will shareholders approve the 326,250 director options at the 23 November AGM?
  • How many of the 8.14 million options will ultimately be exercised before August 2028?
  • Can Venari fund Red Mountain’s next development steps without relying on further equity or debt?
