Eagers moves to full ownership of BYD retail venture

Eagers Automotive Limited (ASX:APE) is moving to take complete control of its BYD retail operation, agreeing to acquire the remaining 20% of EV Dealer Group for a combination of cash and Eagers ordinary shares. The transaction will remove the venture’s remaining non-controlling interest and make EV Dealer Group a wholly owned subsidiary.

The company expects the deal to complete by 31 October 2026. It forecasts the transaction will be 5.0% to 5.5% earnings accretive for shareholders, based on pro-forma underlying operating profit before tax for the 12 months ended 30 June 2026.

Earnings forecast comes with important qualifications

That accretion figure is not a reported statutory earnings outcome. Eagers says the underlying measure excludes significant items and has not been reviewed by its external auditors. The pro-forma calculation also includes 12 months of CanadaOne earnings, from 1 July 2025 to 30 June 2026, on an unaudited basis.

The filing does not disclose the value of the cash consideration, the number of Eagers shares involved, the implied valuation of the 20% interest or the detailed funding terms. Those omissions mean the headline accretion estimate cannot yet be assessed against the price paid or any potential change in Eagers’ issued share capital.

Final consideration will determine the deal’s full impact

For Eagers, sole ownership should simplify the presentation of the BYD retail business by eliminating the minority interest. The announcement, however, provides no additional operating detail on EV Dealer Group, so it does not establish whether the forecast benefit reflects changes in ownership alone, the underlying performance of the venture, or the broader pro-forma assumptions used in the calculation.

The next material disclosure is likely to be the completion announcement and the final cash-and-equity terms. Until then, the 5.0% to 5.5% figure is a company forecast built partly on unaudited pro-forma information, rather than a confirmed uplift to reported profit.

Bottom Line?

The strategic move is clear, but the investment maths remains incomplete until Eagers reveals the cash price, share component and post-completion earnings base.

Questions in the middle?

  • What cash amount and number of Eagers shares will be transferred for the remaining 20%?
  • How does the final consideration compare with EV Dealer Group’s earnings contribution and implied valuation?
  • Will reported results ultimately support the forecast 5.0% to 5.5% accretion once the pro-forma assumptions are removed?
