$8 million Jacaranda IPO targets 65.6 million shares at listing

Mining By Maxwell Dee 5 min read

Jacaranda Natural Resources has lodged a replacement prospectus for an $8 million ASX float targeting copper, gold and copper-nickel exploration in Queensland and Botswana. The offer remains conditional, ununderwritten and highly speculative, with the company warning that its ability to continue as a going concern depends heavily on a successful raise.

  • $8 million minimum IPO at $0.20 a share, with capacity for a further $2 million
  • Proposed portfolio spans White Cockatoo in Queensland and three Botswana projects
  • Botswana change-of-control approval remains outstanding
  • EPM 28063 renewal will require relinquishing about half its current area
  • No JORC Mineral Resources have been defined across the portfolio

Jacaranda Natural Resources Limited (ASX:JRL) is taking an $8 million exploration proposition to investors, but its replacement prospectus makes clear that the proposed listing is still a chain of conditions rather than a completed transaction. The company is seeking to issue 40 million shares at $0.20 each, with room to accept another 10 million shares and raise up to $10 million before costs. The offer is not underwritten.

Replacement Prospectus Sets Out IPO Funding Plan

The replacement prospectus dated 30 September 2026 replaces the original document lodged on 16 September and adds detail on project conditions, licence renewals, acquisition obligations, corporate overheads and risk factors. At the minimum raise, Jacaranda expects to have about $6.99 million in cash after offer costs and other pro forma adjustments. It plans to spend roughly $4.48 million on exploration over two years, including drilling, geophysics, mapping and sampling, while corporate overheads are budgeted at about $1.93 million.

At minimum subscription, the company would have about 65.6 million shares on issue and an implied undiluted market capitalisation of approximately $13.1 million. The public offer shares would account for about 61% of the post-offer ordinary shares. A further 2.5 million performance rights and up to 2 million options for the joint lead managers sit outside that basic share count.

Queensland Flagship Faces Renewal and Relinquishment

Jacaranda’s proposed Australian flagship is the White Cockatoo Project near Biloela in central Queensland. The project contains three exploration permits covering about 409 square kilometres and includes the Quartz Ridge, Tea Tree, Flanagan’s and Great Blackall prospects. Historical and recent work has produced high-grade surface samples and narrow drill intersections, but the independent technical assessment describes the asset as an early-stage exploration project with no JORC Mineral Resource.

The immediate tenure issue is EPM 28063, which expires on 1 February 2027. Its renewal application must be lodged by 2 November 2026 unless a shorter period is allowed, and renewal requires the relinquishment of about 73 square kilometres, or half of the permit’s current area. The prospectus also discloses that exploration access is not uniformly secured across the project and that EPM 28005’s expenditure position may require engagement with Queensland authorities.

Botswana Acquisition Still Awaits Change-of-Control Approval

The Botswana portfolio comprises the Globe gold project, the Motloutse copper-nickel and gold project, and the large Nkwe copper-nickel project. Five granted prospecting licences have been transferred into Jacaranda Natural Botswana, according to the Botswana solicitor’s report, but the proposed acquisition by Jacaranda still requires Ministerial approval for the change of control of that licence-holding company. The report says it had not been informed that the downstream approval application had been lodged as at its date and expresses no opinion on its timing or outcome.

Three additional Globe licence applications remain pending and confer no prospecting rights unless granted. The company’s planned Botswana work includes drilling at Globe, geophysical work at Nkwe and staged field programs at Motloutse. Those plans are therefore dependent not only on funding and exploration results, but on the regulatory sequence that would put the assets fully under Jacaranda’s control.

Going Concern Warning Frames the Offer

Jacaranda was incorporated in February 2026, has no operating revenue and recorded a loss of $889,217 for the period to 30 June 2026. Its auditor issued an unmodified opinion but included an emphasis of matter regarding material uncertainty over the company’s ability to continue as a going concern. The directors say a successful minimum raise would fund current exploration commitments and short-term working capital; if the offer does not complete, the prospectus says there is significant uncertainty over the company’s future.

The proposed ASX timetable targets admission on 21 October 2026 and commencement of trading on 22 October, subject to the minimum subscription, ASX approval and the other conditions being satisfied. Those dates are less important than the sequence behind them: Jacaranda must first secure the cash, complete the acquisitions, clear the Botswana approval hurdle and manage the Queensland renewal before its exploration story can move from prospectus promise to drill results.

Bottom Line?

Jacaranda offers a sizeable exploration pipeline for a small IPO, but the investment case currently rests on funding, approvals and unproven geology arriving in the right order.

Questions in the middle?

  • Will the ununderwritten offer reach its $8 million minimum and secure ASX admission on the proposed timetable?
  • When will Botswana approval for the change of control be lodged and decided?
  • Can Jacaranda renew EPM 28063, select the relinquished ground and deliver its initial drilling program without requiring another capital raise?
