Datisan sale leaves XPON with a larger cash buffer
XPON Technologies Group Ltd (ASX:XPN) has converted the sale of Datisan into $8.1 million of initial cash and removed a short-term funding obligation, giving the AI marketing technology company more room to pursue its next phase. The transaction completed on 30 September, after the company had previously disclosed the planned disposal in its original Datisan sale.
The consideration comprised a $5.5 million completion payment and a $2.6 million working capital adjustment. A further earn-out of up to $2.0 million remains available if Datisan meets specified gross profit targets for the 12 months ending 31 December 2026. XPON estimates the transaction will generate a gain of approximately $9 million before any earn-out, although that figure is not presented as a final audited result.
Loan repayment removes an immediate funding burden
XPON used the proceeds to repay its $800,000 short-term loan facility and $57,000 of accrued interest on 1 October. The facility, secured in May at an annual interest rate of 14%, included a $500,000 secured tranche and a $300,000 unsecured tranche provided through Konda Corp, a related-party lender controlled by non-executive director Matt Forman.
The Appendix 4C records $8.412 million of cash at 30 September, while the announcement gives a cash position of $6.95 million as at 28 October. The quarterly financing table still shows the $800,000 facility drawn at quarter-end, which is consistent with the repayment occurring the following day, but subsequent reporting will need to clarify the movement between the two cash figures.
Operating cash flow was close to breakeven
XPON recorded $2.334 million of customer receipts during the quarter and reported net operating cash outflow of $71,000. Staff costs were the largest operating payment at $1.282 million, followed by $523,000 in administration and corporate costs and $490,000 in product manufacturing and operating costs. Payments to related parties totalled $162,000, covering directors’ costs and payments to an employee who is an associate of a director.
Wondaris becomes the central capital allocation test
With Datisan sold, XPON says the remaining cash will go towards investment in its Wondaris AI marketing platform and an applied AI acquisition strategy. Management says its immediate priorities are to accelerate AI innovation, shorten sales cycles and improve value realisation for customers.
The company has not yet supplied the detailed FY27 strategy update promised in the report. That update will matter because the disposal has provided a defined cash pool, but not yet demonstrated how effectively XPON can deploy it. The earn-out also leaves a smaller, specific performance milestone still outstanding at Datisan through the end of December.
Bottom Line?
XPON has bought itself financial flexibility, but the investment case now turns on Wondaris execution, acquisition discipline and the delivery of Datisan’s earn-out targets.
Questions in the middle?
- Can Wondaris convert the additional investment into faster sales cycles and stronger customer adoption?
- How much of the potential $2.0 million Datisan earn-out will ultimately be earned?
- Will XPON’s forthcoming FY27 strategy update identify specific acquisition targets and capital allocation limits?
