Mahenge funding deadline moves to 30 November
Black Rock Mining Limited (ASX:BKT) has bought itself another month to close the financing for its Mahenge Graphite Project in Tanzania, extending the deadline under its US$204 million debt facilities to 30 November 2026. The extension provides time to secure the remaining equity required before the debt can be drawn and the project can move towards a fully funded Final Investment Decision.
The banking syndicate is unchanged, with CRDB Bank acting as facility agent alongside the Development Bank of Southern Africa and the Industrial Development Corporation of South Africa. The facilities remain subject to documentation and customary conditions precedent, including the contribution of project equity before first drawdown. This is the second time the deadline has been pushed into November: the company’s previous funding extension was also tied to closing the equity gap needed for Mahenge.
Cash runway leaves little room for delay
Black Rock ended the September quarter with A$2.1 million in cash and no drawn debt. Operating and exploration outflows totalled A$2.815 million for the quarter, producing an estimated 0.75 quarters of funding under the Appendix 5B calculation. The company said cash flows are expected to continue at a similar level in the next quarter.
That makes the financing timetable more than a project milestone. Black Rock said it is well advanced in considering additional equity and a possible line of credit, but disclosed no committed equity amount, investor identity or probability of completion. The US$204 million facility is therefore available in headline terms, rather than as cash that can currently support construction.
Early works approach a funding-dependent finish
The early works program is nearing completion, including activities connected with final earthworks and resettlement along the access road. The remaining work includes relocating graves in the road corridor and constructing the Mdindo stream diversion channel, but both the timing of these activities and the move into the main works program depend on FID funding and the wet season. Earlier coverage described the Mahenge early works program as nearing completion while construction remained conditional on full financing.
Black Rock holds an 84% interest in Mahenge, which it describes as a 213.1 million tonne JORC-compliant mineral resource grading 7.8% total graphitic carbon, alongside a 70.5 million tonne probable ore reserve grading 8.5%. POSCO’s strategic alliance remains part of the funding structure, with up to US$50 million in support referenced by the company, while POSCO’s South Korean spherical purified graphite plant is scheduled for commissioning in the second half of 2027.
Graphite pricing supports the project case, not the balance sheet
Black Rock said large-flake graphite pricing has continued to consolidate, with premiums described as resilient over the past year. It also reported increased inbound interest in East African mine supply, while noting that fines pricing remains highly competitive. Those market observations may support the project’s commercial rationale, but they do not resolve the immediate requirement for equity, documentation and satisfaction of the debt facility conditions.
Bottom Line?
The decisive catalyst is no longer the debt facility itself, but whether Black Rock can secure the equity needed to unlock it before 30 November and preserve its limited cash runway.
Questions in the middle?
- What equity structure and investor commitments, if any, will Black Rock announce before the 30 November deadline?
- Can the company complete the remaining resettlement and earthworks before the wet season without a funded FID?
- Will the US$204 million facilities reach financial close on their current terms, or require another extension or revised funding package?
