FIRB Removes a Key Scheme Condition
OceanaGold’s proposed takeover of Ausgold has cleared a material regulatory checkpoint after the Foreign Investment Review Board confirmed that the Australian Commonwealth Government has no objection to the transaction. The confirmation satisfies the FIRB condition in the Scheme Implementation Deed signed on 17 August 2026.
That moves the deal forward, but it does not make the transaction unconditional. Ausgold shareholders must still approve the scheme, the requisite court approval must be obtained and other conditions previously attached to the agreement remain outstanding.
Shareholder Vote Remains the Next Major Gate
The regulatory clearance arrives as shareholders prepare to decide on the proposed acquisition. The deal, previously reported as a proposed A$776 million transaction, would transfer Ausgold and its Katanning Gold Project to OceanaGold, but the current announcement does not provide a date for the shareholder meeting, court process or expected implementation.
The FIRB decision follows the transaction’s progress through other preparatory steps, including the proposed OceanaGold acquisition, which had already begun affecting Ausgold’s development timetable. The company’s earlier quarter update said its resource update and final investment decision had been deferred while shareholders prepared to vote.
Completion Still Depends on Unresolved Conditions
For Ausgold investors, the announcement narrows one source of transaction uncertainty without answering the remaining practical questions. The filing gives no new detail on the shareholder vote, court approval, consideration mechanics or completion date, so the next decisive disclosures are likely to come from the scheme process rather than from FIRB.
The immediate change is therefore clear but limited: a government approval condition has been satisfied, while the outcome still depends on shareholder and court decisions. Until those steps are completed, OceanaGold’s acquisition of Ausgold remains proposed rather than settled.
Bottom Line?
FIRB clearance removes one significant obstacle, but the transaction still needs shareholder and court approval before completion can be treated as more than a proposal.
Questions in the middle?
- When will Ausgold shareholders vote on the proposed scheme?
- What other scheme conditions remain outstanding beyond shareholder and court approval?
- When will Ausgold and OceanaGold provide an expected implementation date?
