Noxopharm has halted trading in its securities while it prepares an announcement about a capital raising. The suspension is scheduled to last until the earlier of the announcement or the start of trading on 2 November 2026, unless ASX decides otherwise.

  • Trading suspended immediately at Noxopharm’s request
  • Capital raising announcement pending
  • Suspension requested until 2 November 2026 at the latest, unless the announcement comes sooner
  • Funding size, pricing, dilution and use of proceeds remain undisclosed

Trading suspended before capital raising details emerge

Noxopharm Limited (ASX:NOX) has asked ASX to suspend its securities from quotation as it prepares an announcement about a capital raising. The suspension took effect immediately on 29 October under Listing Rule 17.2, removing the stock from trading while the financing details are finalised.

The company has requested that the suspension remain in place until the earlier of the announcement’s release or the commencement of trading on Monday, 2 November 2026. ASX retains the discretion to decide otherwise. The exchange said the suspension followed Noxopharm’s request and would remain until one of those events occurred.

Funding need meets a thin cash position

The timing matters because Noxopharm’s latest reported finances already pointed to a significant funding requirement. Its annual report disclosed A$293,573 in cash at the end of June, net liabilities of A$3.65 million and an auditor warning of material uncertainty over going concern, as reported in the company’s annual funding uncertainty.

The filing does not disclose the proposed capital raising’s size, structure, issue price, discount, investor participation or intended use of funds. Those terms will determine how much additional runway the financing provides and what dilution existing shareholders may face, but none can be assessed from the suspension notice alone.

Next announcement will set the financial terms

Noxopharm has recently reported progress for SOF-SKN, including completion of a first-in-human safety trial and supportive US Food and Drug Administration feedback on a proposed Phase II pathway. The pending financing announcement will now put a price on the company’s ability to advance that development work, although the suspension notice itself makes no statement about project funding or timelines.

The immediate question is whether Noxopharm releases the capital raising terms before trading resumes on 2 November, or whether ASX grants a different outcome. Until then, investors have no disclosed basis for judging the scale of the raise or its effect on the company’s capital structure.

Bottom Line?

The next filing will matter far more than the suspension itself: size, pricing and dilution will show how much development runway Noxopharm is buying.

Questions in the middle?

  • How large will the capital raising be, and at what issue price or discount?
  • Will the financing materially change existing shareholders’ ownership and control?
  • How much of the proceeds will support SOF-SKN development and broader Sofra programs?
